Re: Special Use -Oil & Gas

We submit herewith 1 additional application for special use
permit in connection with our plans to conduct a multi-well oil
and gas drilling program in the captioned area, to begin prior to
June 1, 1988. We also forward herewith the application fee of
$250.00.
Accompanying the applications previously submitted and for
use in connection with all applications is a U.S.G.S. 7.5 minute
topographic map indicating the location of all wells. The access
routes to each location are highlighted and the map indicates
relative location of the wellsites to existing water bodies and
water courses, including crossings thereof. Land ownership of
lands crossed to access wellsites is the same as wellsite
location in all cases. Also enclosed is a generalized site plan
for all wells. We recognize no reason that the site plan will
vary much from well to well.

3. Grantee shall notify Grantor prior to its initial entry
upon the surface estate of Granter, and Granter and Grantee shall
mutually agree upon the location of all roads, pipelines,
wellsites, tank batteries and any and all other facilities to be
located upon the surface estate of Gran tor. Grantee shall not
commence any operation until Granter has approved the location of
all such improvements, however, such approval shall not be
unreasonably withheld.
4. Grantee agrees to use the access roads, pipelines,
wellsite, and related facilities hereon in conformance with
acceptable and prudent oilfield standards and practices. Grantee
agrees to tender to Granter in advance of operations a one-time
payment of Three Thousand Dollars ($3,000.00) for the wellsite
location and right-of-way over and across the access roads during
the drilling, completing, equipping and production operation of
the subject well. Grantee agrees to pay for any and all damages
to growing crops, livestock, and fences caused by any and all of
its operations on said land. Grantee further agrees to install
culverts at water crossings and gates according to Granter's
specifications.
5. This Agreement shall remain in full force and effect
from the date hereof, and so long thereafter as the subject well
is in production, and/or the oil and gas lease incident thereto
and under which the subject well was drilled remains valid.
6. Any new road constructed to permit access to the
wellsite location and related facilities will not exceed a total
surface width of twenty (20) feet. Grantee shall at all times
maintain said roads in good condition and acceptable repair, all
at the sole cost and expense of Grantee.
7. In the event that the subject well does not result in
the discovery of oil, gas, or other hydrocarbons in paying
quantities, then Grantee agrees to plug and abandon said well in
accordance with all laws and regulation of the State of Colorado.
If the subject well is plugged and abandoned, Grantee agrees that
within a reasonable period it will restore and re-seed the
Grcintor 1 s surface estate to as near its original condition as
practicable. Grantee shall have the right upon termination of
its operations hereunder to remove or have removed all of the
equipment and materials at its sole cost, risk, and expense.
8. In the event Granter suffers permanent damages to their
water well(s) located on the subject lands which render such
well(s) incapable of producing water of the same quality and at
the same rate as such well(s) were producing water within one
year prior to Grantee's operations on Granter's surface estate,
Grantee shall justly compensate Grantor for such damages, which
shall be determined by and between Granter and Grantee, in the
event such damages actually occur.
9. The terms, convenants, and provisions hereof shall be
binding upon and inure to the benefit of the parties hereto,
their successors, and assigns and the rights and easements herein
granted £hall be assignable tcge~her or separately, wholly or in
part.

Excepting and reserving unto FARMOR all operating rights and
working interests below the stratigraphic equivalent of the total
depth drilled, together with the right of. ingress and egress for
the purpose of developing and operating .s .. id f<>ser:ved rights.

Wasatch formation.
FARMOUT AGREEMENT
THIS AGREEMENT' dated the 3rd day of March, 1988'
between EXXON CORPORATION, a corporation, hereinafter
FARMOR and BONNEVILLE FUEI.S CORPORATION, hereinafter
FARMEE.
WHEREIN IT rs MUTUALLY AGREED AS FOLLOWS:
by and
called

1. FARMEE shall, subject only to its approval of titles
and to all authorizations of governmental authorities required by
law (which· authorizations FARMEE shall use its best efforts to
obtain), drill the test well prescribed by this Agreement with
due diligence, in a workmanlike manner, and in a bona fide effort
to obtain production of oil or gas or both. The test well shall
be commenced on or before the date and shall be drilled at the
location and to the objective depth specified in Exhibit 11 B11 •
But if mechanical difficulties, virtually impenetrable
substances, or other conditions or circumstances occur which
would render further drilling impractical in the opinion of a
prudent operator, then FARMEE shall discontinue drilling said
well, properly and diligently plug and abandon the same, and may
at its option within thirty (30) days after the abandonment
commence a substitute well at approximately the same location or
at another location upon the lands described in Exhibit "A"
acceptable to FARMOR. Thereupon the substitute wel 1 shall be
considered and treated for all purposes hereunder as the test
well herein prescribed. Said test well shall be drilled, tested,
and plugged and abandoned, if dry, and completed and operated if
a producer at the sole cost, risk and expense_ of_ FJl.RMEE _ ent.i_r_e)..y
'free of cost, liability or responsibility -on the part of FARMOR.,
FARMEE shall be solely responsible for compliance with and
shall comply with the express or implied terms, conditions and
covenants of the lease or leases covering the land upon which the
test well is to be drilled and with all applicable federal and
state laws and all valid applicable orders or regulations of
federal and state governmental agencies. Without limiting the
generality of the foregoing, FARMEE shall restore as nearly as
practicable, the surface of the lands upon which the test well is
drilled and advise FARMOR in writing when such has been
accomplished.
FARMEE shall not commence operations on the lease premises
until after FARMEE has given to FARMOR evidence of operator 1 s
bond coverage for not less than the amount required by the
Department of Interior regulations for operation on federal oil
and gas leases.
2. Upon the drilling and completion or abandonment of the
test well in full compliance with the terms and conditions of
this Agreement, FARMOR shall assign to FARMEE, but without
warranty of title or recourse and subject to the reservation of
horizons and depths set forth on Exhibit 11 A11 the following oil
and gas leasehold interests presently held or claimed by it:
All of FARMOR's right, title and interest in and to its oil
and gas lease or leases covering the lands described in
Exhibit 11 A11 , reserving unto FARMOR an overriding royalty of
5% of 8/8ths of all oil and gas produced, saved or marketed
from said lands.
3. FARMOR shall have the right to take in kind its
overriding royalty as to oil and liquid hydrocarbons. Its right
to do so shall extend so long as the overriding royalty interest
continues and may be exercised~ from time . to time _as __ . oft;en as
FARMOR may desire by giving thirty (30) days notice in writing to
FARMEE. At any time FARMOR is not exercising its right to take
in kind, its overriding royalty portion of the oil and liquid
hydrocarbons shall be sold by FARMEE at the best available price
and the overriding royalty accounted for at such sales price.
4. Prior to any transportation of natural gas produced
from any of the interests farmed out or assigned hereunder
("farmed-out interest") that could make FARMOR subject to the
crediting mechanism described in sections 284.8 (f) or 284.9 (f)
of the regulations of the Federal Energy Regulatory commission
("FERC"), as promulgated in order No. 500 and 500-B, or successor
regulations, FARMEE shall attempt to obtain the agreement of each
potential transporting pipeline not to assert rights under such
FERC regulations to credit volumes of gas produced from or
allocated to such farmed-out interest and shipped on such
transporting pipeline ("subject gas") against contractual or
other obligations of such transporting pipeline to FARMOR. If
FARMEE is unsuccessful in obtaining such agreement (s) from the
transporting pipeline(s), FARMOR shall execute and deliver such
offer of credits or other document as may be required under FERC
regulations to make the subject gas eligible for transportation
on the transporting pipeline (s) ("offer of credits") , unless the
execution and delivery by FARMOR of such an offer of credits
would cause the above-described crediting against any obligation
.(whether related to the farmed-out interests or any other
interests owned by the FARMOR) of the transporting pipeline to
FARMOR to occur.
If gas produced from or allocated to properties or interests
(i) retained by FARMOR hereunder or (ii) owned by FARMOR and not
the subject of this transaction (11 retained gas") is ineligible
for transportation on any transporting pipeline unless FARMEE
executes an offer of credits, -FARMOR shall attempt to obtain -the -
agreement of such transporting pipeline to~· waive such cOndition
that FARMEE execute an offer of credits. If-FARMOR is
unsuccessful in obtaining such waiver ag.reement(s) from the
transporting pipeline(s), FARMEE shall execute and deliver such
offer(s) of credits as may be required under FERC regulations to
make the retained gas eligible for transportation on the
transporting pipline(s).
The foregoing prov1s1ons shall bind the respective
successors and assigns of FARMOR and FARMEE, constitute covenants
running with the land, and be memorialized in all assignments or
other conveyances that may be executed and delivered by the
parties from time to time,
5. FARMOR' s representatives shall at all times at their
own risk and expense have free access to the well and derrick
floor of any well drilled pursuant to this Agreement. FARMEE
sh al 1 conduct the geological program specified in Exhibit "C"
attached hereto and shall at its sole cost, risk and expense
(except as otherwise specified in said Exhibit 11 C") timely
furnish to FARMOR all samples, logs and data specified in said
Exhibit 11 c 11 and any other information obtained from said well or
wells.
6. If by reason of a lease provisi~n, statute, rule or
regulation a leasehold assignment conveying the rights and
interests to which FARMEE becomes entitled under the provisions
of this Agreement is either prohibited or valid only after
discretionary approval by or on behalf of the lessor, then FARMOR
and FARMEE shall execute a lease operating agreement in FARMOR'S
usual form granting to FARMEE the operating rights and working
interests to which FARMEE is entitled under this Agreement.
FARMOR shall have the right to determine whether FARMOR or FARMEE
will be the record owner of the lease or leases under said lease
operating agreement. The duties and obligations of the parties
hereto will continue until there is . full performance and shall ·
not be terminated, released, suspended or impaired by, or merged
into, any instrument of lease assignment or lease operating
agreement entered into pursuant to the provisions hereof.

7. FARMOR shall pay the delay rentals or other payments
necessary to maintain the oil and gas lease or leases covering
the lands described in Exhibit "A" and FARMEE shall reimburse
FARMOR for one hundred percent ( 100%) of such payments as are
made after the date of this Agreement. FARMOR shall have no
liability or responsibility by reason of failure to make any such
payment by reason of inadvertence or clerical error.

9. This Agreement is made without any express or implied
representation or warranty of title as to the subject leases and
lands. Upon request, FARMOR will furnish FARMEE copies of its
oil and gas leases and any assignments, rental receipts and other
title data relating to said leases as is now available in its
files, but FARMOR shall have no obligation to furnish any
abstracts nor to do any curative work. FARMEE shall furnish to
FARMOR copies of all status reports and title opinions FARMEE may
obtain in connection herewith.
10. The rights, duties, obligations and liabilities of the
parties hereto shall be several and not joint or collective.
Each party hereto shall be responsible only for its obligations
as herein set out and shall be liable only for its share of the
cost and expense as herein provided; it being the express purpose
and intention of the parties that their interest in this
Agreement and the rights and property acquired in connection
herewith shall be held by them as tenants in common. Except for
the tax election which the parties may have made, it is not the
purpose or intention of this Agreement to create any mining
partnership, commercial partnership or other partnership. FARMEE
shall indemnify and hold harmless FARMOR and its officers,
directors, employees and agents from all claims, demands, losses
and liabilities of every kind and character arising out of
FARMEE 1 S performance or failure to act by FARMEE'S employees,
agents, contractors and subcontractors hereunder.
11. Each party hereto agrees to individually bear and pay
or cause to be paid any tax accruing on its net share of the
"Crude Oil Windfall Profit Tax Act of 1980 11 , as the same may be
amended from time to time ("Act") and any valid regulations or
rules which may be issued by the Treasury Department from time to
time pursuant to said Act ( 11 regulations/rules 11 ). If a party is
required by the Act or regulations/rules to furnish information
which it does not possess, but any other party of parties hereto
does possess such required information, such information shall be
furnished to the other party promptly upon its written request
therefor. FARMEE recognizes that FARMOR is an integrated company
within the meaning of the "Act 11 and that FARMOR may elect to
deposit all of its windfall profits tax even when not an operator
or first purchaser; accordingly FARMEE agrees to coordinate and
to require any first purchaser of crude oil produced from the
lands described in Exhibit "A" to coordinate the deposit of the
~otal windfall profits tax on said production with FARMOR. Each
party hereto agrees to individually bear and pay or cause to be
paid any tax accruing on its net share of production from said
lands by virtue of the Act, as same may be amended from time to
time, and any valid regulations or rules which may be issued by
the Treasury Department from time to time pursuant to said Act,
as amended. Further, FARMEE agrees to furnish FARMOR any
information required to be certified by FARMOR, as a first
purchaser or as a producer, pursuant to said Act, as amended, and
such rules or regulations, in a timely manner and in sufficient
detail to permit compliance with such Act, rules and regulations.

FARMEE agrees to indemnify and hold FARMOR harmless from any and
all liability for payment of taxes (except for taxes attributable
to FARMOR'S net interest), penalties and interest that FARMOR
might incur if FARMEE fails to supply such accurate information
in a timely manner and in sufficient detail.
12. All rights, interests and reservations of FARMOR set out
in this Agreement, including but not limited to the overriding
royalties reserved by FARMOR, shall extend, and FARMEE agrees
that such shall be applicable to all modifications, extensions,
and renewals of any of the leases covering the lands described in
Exhibit 11 A", and to all new leases covering any oil and gas
interests in such lands that may be acquired by or on behalf of
FARMEE while the existing leases are in force or within one year
after the termination thereof.
13. In addition to any remedies available to FARMOR at law
or in equity, the breach by FARMEE of any covenant, obligation or
requirement specified in this Agreement or arising from any
provision contained herein shall give FARMOR the optional right
to terminate this Agreement if FARMEE fails or refuses to comply
with such covenant, obligation or requirement within ten (10)
days after notice of its breach. If FARMOR exercises this
optional right to terminate this Agreement, all rights granted
hereunder to FARMEE shall revert to FARMOR and FARMOR shall have
the right to take possession of any well, well equipment or other
facilities located on the lands described in Exhibit 11 A".
14. Other than notices required under Exhibit "C", any
notice given for the purposes of this Agreement shall be

15. This Agreement shall be binding upon the parties
hereto, their successors and assigns; provided, however, that
rARMEE shall not assign any or all of its interest in this
Agreement without first securing FARMOR'S written consent, and
further provided that any assignment hereafter executed shall
specifically refer to, and be made subject to, the terms and
conditions hereof.
16. If this Agreement shall not be duly executed by FARMEE
and returned to FARMOR within thirty (30) days from the date of
hereof, then and thereupon at the option of FARMOR, this
Agreement shall be null and void and of no effect.
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement effective as of the day and year first above written.

Grantee intends to drill a well for oil and/or gas, said

Granter does hereby convey to Grantee, its successors and
~ssigns, a right-of-way upon and across the above described land
~nd premises, together with the right so long as said right-of-
·1ay is used for the purposes herein granted, to enter upon and
.=i.cross the surface estate of Granter, to construct, maintain,
~epair and use limited access roads, together with all necessary
Jridges for access to the subject well location; and, to
:::onstruct a wellsite, tank batteries, electrical lines,
?ipelines, and all such other related facilities as are necessary

oroduce and/or plug and abandon the subject well.
Granter hereby reserves unto itself, its successors and

1. Grantee, its agents, successors and assigns, will save

320, Rifle, co 81650, hereinafter referred to as 11 GRANTOR 11 and
Bonneville Fuels Corporation, 1600 Broadway, Suite 1123, Denver,
Colorado 80202, hereinafter referred to as "GRANTEE 11 •
WITNESSETH:

Grantee hereby agree as
Grantee intends to drill a well for oil and/or gas, said
well to be known as the 25-22 Downing well hereinafter referred
to as 11 the subject well 11 , to be located in the NE/4NW/4, Section
25, T6S, R94W, Garfield county, Colorado.
Granter does hereby convey to Grantee, its successors and
assigns, a right-of-way upon and across the above described land
and premises, together with the right so long as said right-of-
way is used for the purposes herein granted, to enter upon and
across the surface estate of Granter, to construct, maintain,
repair and use limited access roads, together with all necessary
bridges for access to the subject well location; and, to
construct a wellsite, tank batteries, electrical lines,
pipelines, and all such other related facilities as are necessary
for Grantee to properly drill, equip, complete for production,
produce and/or plug and abandon the subject well.
Granter hereby reserves unto itself, its successors and
assigns, all surface, water and mineral uses and the right to
grant additional and successive rights-of-way which are not
inconsistent with the rights granted to Grantee at all times that
this right-of-way is in effect. Entry upon the heretofore
referenced surface estate and right-of-way for use of the access
roads, wellsi te, pipelines and all other related facilities are
hereby granted upon the following express conditions:
1. Grantee, its agents, successors and assigns, will save
and hold Granter harmless from and against any and all claims,
demands and causes of action including reasonable expenses,
attorney fees and court costs, arising from or in connection with
any claim for damages to persons or property caused by the
willful or negligent act or omissions of Grantee in the
installation, construction, repair, maintenance and all
operations involved with the drilling, completion, production
and/or plugging and abandoning the subject well, but not
otherwise.
2. Should Granter or any third party use the rights-of-way
or easement of Gran tor herein, said parties agree to indemnify
and hold Grantee harmless from and against all claims, demands
and causes of action including reasonable attorney 1 s fee, for
personal injury, death or property damage arising out of or
attributable to Granter's or third party's willful or negligent
act or omission while· using said right-of-way or easement of
Grantee.
3. Grantee shall notify Granter prior to its initial entry
upon the surface estate of Granter, and Granter and Grantee shall
mutually agree upon the location of all roads, pipelines,
wellsites, tank batteries and any and all other facilities to be
located upon the surface estate of Gran tor. Grantee shall not
commence any operation until Granter has approved the location of
all such improvements, however, such approval shall not be
unreasonably withheld.
4. Grantee agrees to use the access roads, pipelines,
wellsite, and related facilities hereon in conformance with
acceptable and prudent oilfield standards and practices. Grantee
agrees to tender to Granter in advance of operations a one-time
payment of Fifteen Hundred ($ 1500.00 ) for the wellsite
location and right-of-way over and across the access roads during
the drilling, completing, equipping and production operation of
the subject well. Grantee agrees to line all pits and to pay for
any and all damages to growing crops, livestock, and fences
caused by any and all of its operations on said land. Grantee
further agrees to install culverts at water crossings and gates
according to Granter's specifications. Grantee also agrees to
relocate and reconstruct those portions of Gran tor• s irrigation
ditches that interfere with Grantee's operations, in accordance
with Grantor's specifications.
5. This Agreement shall remain in full force and effect
from the date hereof, and so long thereafter as the subject well
is in production, and/or the oil and gas lease incident thereto
and under which the subject well was drilled remains valid.
6. Any new road constructed to permit access to the
wellsite location and related facilities will not exceed a total
surface width of twenty ( 20) feet. Grantee shall at all times
maintain said roads in good condition and acceptable repair, all
at the sole cost and expense of Grantee.
7. In the event that the subject well does not result in
the discovery of oil, gas, or other hydrocarbons in paying
quantities, then Grantee agrees to plug and abandon said well in
accordance with all laws and regulation of the State of Colorado.
If the subject well is plugged and abandoned, Grantee agrees that
within a reasonable period it will restore and re-seed the
Grantor's surface estate to as near its original condition as
practicable. Grantee shall have the right upon termination of
its operations hereunder to remove or have removed all of the
equipment and materials at its sole cast, risk, and expense.
8. The terms, convenants, and provisions hereof shall be
binding upon and inure to the benefit of the parties hereto,
their successors, and assigns and the rights and easements herein
granted shall be assignable together or separately, wholly or in
part.
IN WITNESS WHEREOF, the Agreement is executed the date first
set forth above.

In accordance with our telephone conversations, this letter
shall detail a few changes that need to be integrated into the
county's consideration of several Special use Applications
related to our multi-well drilling program in the captioned area.
Our plans for drilling wells that are the subject of two of
the applications have been postponed indefinitely. We would like
to request no further action by Garfield County as to our
proposed #35-14 well in the SW/4 of Section 35, T6S, R94W and the
#25-33 well in the SE/4 of Section 25, T6S, R94W.
The surveyed location of our proposed #25-22 well located in
the NW/4 of Section 25, T6S, R94W and our proposed #27-42 well
located in the NE/ 4 of Section 27, T6S, R94W, have both been
moved a short distance and said wells are now within a different
40 acre tract than as applied for, however they are still in the
quarter section applied for. The re-location of these two wells
does not result in different notification requirements. We
therefore, hereby request that the county process these
applications based upon the re-surveyed locations.
The surveyed location of our proposed #26-31 well has also
been re-surveyed and is now in the 40 acre tract adjacent to the
original location, but still within the same quarter section. We
hereby request that the application for this well be processed as
re-located and we understand that a re-hearing before the County
Commissioners is necessary.
