The consideration of this proposed Special Use will require at least one (l) public hearing, for which public
notice must be provided- The Planning Departrnent will mail you information concerning this hearing(s),
approximately 30 days prior to the scheduled hearing. You will then be required to notify, by certified retum
receipt mail, all adjacent landowners and publish the notice provided by the Planning Deparrnent, in a
newspaper of general circulation. Both these notices must be mailed/published at least 15 days prior to the
public hearing. The applicant shall bear the cost of mailing and publication and proof of mailing and
publication must be submitted at the time of the public hearing.

MEMORANDUM OF LEASE
THIS MEMORANDUM OF LEASE ("Memorandum") is executed this 4s day of November,7999,by

81650 and American Tower, LP., a Delaware limited partnership ('Tenant"), whose mailing address is 3411

WHEREAS, Landlord and Tenant executed and entered into an Option and Lease Agreement (the
"Lease") dated 4s November, 1999, for the pulpose of installing, operating and maintaining radio
communication facilities and other improvements on the Property (as hereinafter defined).
WHEREAS, the parties wish to provide a memorandum of the lease, to supplement the description of
the Property (as hereinafter defined), to acknowledge TenanCs exercise of its option under the Lease and to
provide for a commencement date under the Lease.
NO$f' THEREFORE, irr consideration of the Lease and other good and valuable consideration, the
receipt aod sufficiency of which are hereby acknowledged, Landlord and Tenant hereby agree as follows:
l. Lease Term. The terms of the Lease shall be Five (l) years commencing on the date the
Option is exercised by Tenant, which date is to be no later than lune-S, 2000 (the "Cornrnencement Date"), and
terminating at midnight on the Sth anniversary of the Commencement Date (the ulni"al Term"). Tenant has the
option under the terms of the Lease to extend the Lease for Nine (!) additional Five G) y"* terms (the
"Renewal Terms").
2, Property. Subject to the terms of the kase, as nxly be amended ftom time to time, Landlord
has leased to Tenant the real property described on Exhibit "A" attached hereto (the "Properry") "rd Landlord
has granted unto Tenant, for the Initial Term and any Renewal Terrr\ easements for ingreis, egress and utilities
over that real property also descdbed in Efibit "A" attached hereto (the "Easement').
3. Notices' AII notices, requests, demands, and other communications to Landlord or Tenant
shall be rnade at the addresses for each as set forth above, unless otherwise notified in writing.

Dear Garfield County:
The purpose of this letter is to outline Cleartalk's need for the West Rifle site (COl203) from a technical design
standpoint.
Considerations for a new PCS system
With the inmeasing use of cellular telephones the Federal Communications Commission (FCC) souglrt to infroduce
additional seryice providers. It was an effort to increase competition which in turn would drive down the price of
quality wireless telephony. This was achieved by allocating a segment of frequency fbr companies which bought

Thus Cleartalk is obliged to the FCC to provide quality PCS service to future customers in the Grand Junction area.
Once completed, the network will provide high-quality digital voice and data communication services to our
customers. This digital PCS network offers numerous improvements over analog cellular in quality, reliability and
features (voicemail, paging, text messaging, etc). Cellular networks operate in the 800 MFIz ftequency band. PCS
networks operate in the 1900 M[Iz band. Since radio wayes propagate sigrrificantly better at lower frequencies,
PCS sites must be spaced closer together than those in a cellular network from a coverage perspective. The fact
that AM radio stations reach greater distances than FM radio stations (which are at higher frequencies) is another
example of the sarne phenomenon.
A "grid" of sites must then be deployed to provide continuous coverage over the service area. Any given site in
that grid is designed as part of the entire continuity of the network and cannot be considered in isolation. Design
changes to one site impact those around it. Movement of a site creates a domino eftbct on the entire network.
Once sites have been built, rnovement or loss of a site can be devastating to the quality of the network. The exact
placement and configuration of sites into this grid is what wireless system desigrr engineering encompasses. Some
of the basic considerations are outlined below.
Desisn Obiectives
Cleartalk seeks to provide only the highest qualrty PCS network to its customers. Any two-way wfueless system,
such as PCS telephony, has three basic design objectives which must be met. First, the network must provide
coverage over the region of operation, meaning there is sufflcient signal stength for customers to receive and
make calls. Secondly, the network must be designed to handle the capacity of calls generated by its customers.
This equates to having a sufficient number of channels for users to place calls. Without sufEcient capacity, even in
areas with strong signal strength and excellent covexage, users are blocked from making a call and get a "fast
busy'' signal. Larger capacity requires more sites that are spaced closer together and the Cleartalk network has
been designed to handle a large number of anticipated users. Therefore, other wireless operators collocating on our
grid of sites will be able to meet the capacity needs of their systems as well.
Thirdly, the quality of the network is essential. This encompasses a n'mber of issues which are related to the
coverage and capacity of a network. Insufficient sigrral strength (coverage) is the prime culprit of poor voice
quality. However, interference from the radro waves from our other sites can be just as devastating to voice quality
and results in a very delicate engineering design requiring a balance between maximizing coverage and
minimizing interference. For this reason, careful site selection is critical. Sites that are too close to each other or
too tall can cause damaging interference. Sites that are too far apart or too short may not provide sufficient sigtal
strength to an area.

This is the case for the West Rifle site. First, in order to provide any reasonable coverage, the antennas must not
be blocked by any man-made or natural obstacles such as trees. A relatively short structure would meet this
constraint. Secondly however, the distance to which a site can provide coverage is directly related to the height of
the structure. In order to be able to "hand-off' to the Cleartalk sites in Parachute and Rifle (CO1202, COl204
respectivel, additional height is needed. The height and placement ofthese three sites have been designed
together to provide continuous coverage along I-70. Finally the height of the proposed structure, with its
additional clearance above treeline, will enable collocation with future carriers thereby preventing a proliferation of
sites.

additional arra.y. The base level of the tower will contain the Base Transmitting
Station (BTS), the radio transceiver equipment, on a concrete pad.

As you know our tower will be painted with a non-metallic finish the color is a dull
Grey. While the tower will have some visual impact, this is necessary to provide the
proper clearance over surrounding vegetation and land contours so that the tower
can be colocatable. NTGH is planning on leaving the existing vegetation in place to
help provide screening to the tower, this also means we must ptan on future growth
of the vegetation while maintaining a minimum of 4Ot of clearance above said
vegetation and land contours. The 4Ot of clearance allows us to place up to four
carriers on this one pole thus possibly eliminating the need of construction of
additional towers when other cellular companies move into the area. This tower will
also have a 6' fence around the perimeter of the site.

Thank you for your response to my submittal, I hope the following will help clear up a
few of the points you have brought up. As stated previously, While the tower will
have some visual impact, this is necessary to provide the proper clearance over
surrounding vegetation and land contours so that the tower can be colocatable and
see the connecting towers in our trgridt' pattern of tower placement. NTCH is using
the existing verticality of the hill to achieve this. While placing the tower on top of
the hill may seem to accentuate the tower it is actually minimizing the tower. To
achieve the same height we would have to build an SOO' tower if it was placed below
the hilt or on any less elevated piece of property. The 800' tower would be much
more intrusive and woutd require guyed lines and three or more levels of lighting.
I have included some additional photographs showing the tower and surrounding
areas, please note that there are tall silos to the West of the proposed tower site and
tall mountain ranges on the South and North sides.
! have included a copy of the FAA clearanee document as well as information
concerning the frequencies that we operate on.

The purpose ofthis merno is to outline Cleartalk's technical reasons for the height required for West Rifle
PCS (Personal Communications System) site (site number CO1203). This site was originally subrnitted to
the county as a 100' tower in order to allow for maximum collocatability in the future, thereby preventing
a proliferation of telecommunication towers as wireless applications expand. However, to reduce impact
an 80' facility will meet all Cleartalk technical needs and still provide collocation for up to ttree other
service providers.
Third generation wireless communications (which includes high speed digital data transmissions) and
PCS telephony require towers spaced closer together than those that currently exist for analog cellular
telephone networks. As the first such company in the area, Cleartalk seeks to build towers in a
responsible manner which necessitates designing for sufficient height and structural integrity to
accommodate future wireless carriers (service providers). Depending on the specific protocol and
technology deployed by the various carriers, the industry rule of thumb to prevent interference between the
qystems requires a vertical spacing of l0' 'tip to toe" (top of one antenna to the bottom of the next). With
an average antenna height of 5', this means that the mounts of the collocated service providers will be l5'
apart. The lowest antennas cannot be morurted below 30" because of the potential shadowing from the
surrounding trees and hillside. (PCS communications at a frequency of 1900 MFIz require clearance ofthe
antenna 3 dB point and Fresnel zone over any obstructions for proper perfonnance). Thus service
providers can be located at 30', 45',60', artd7l' . An 80' tower (in 20' sections) will meet this
collocatability requirement.
A second reason that at least an 80' frcility is needed is directly related to the Cleartalk desigrr. The
design of a PCS network includes a grid of sites that will hand-offto each other and work together. The
West Rifle site has been desigred as a "repeater" site that receives signal from the Parachute site,
amplifies it, and retransmits it for additional coverage. Line-of-site to the Parachute site necessitates a 25'
height for the "donor" antenna (must be above all trees). A second transmitting "subscriber" antenna
must be separated by at least 40' to prevent a positive feedback situation and to allow for proper technical
performance ofthe repeater. Thus a Cleartalk facility alone, without collocation, requires sigrificant
height.
