AGREEMENT THIS AGREEMENT, made and entered into this _/ ....... ~_~·_t__-1_1 __ day of d>sr ·,,-f, A.D. 1973, by and between WILLIAM F. CLOUGH, 302 East Fifth Street, Rifle, of Garfield County, Colorado, hereinafter referred to as the "Owner", and the DEPARTMENT OF HIGHWAYS, STATE OF COLORADO, hereinafter referred to as the Department. (The term "Department" shall be construed to include Depart ment employees, agents and contractors.) WITNESSETH THAT: WHEREAS, the Department desires to obtain construction materials of satisfactory quality and quantity for use in construction, improvement and maintenance of its highways, which material is available from land owned by the Owner, as hereinafter described; AND WHEREAS, the Owner is willing to sell a stratum of a parcel of his land on which material of the type the Department wishes to obtain is situat NOW, THEREFORE» IT IS AGREED BY THE PARTIES, AS FOLLOWS: That WILLIAM F. CLOUGH is the owner in fee simple of the surface of a t act of land situate in Garfield County, Colorado, described as follows, to-wit: NW~ NW~ Sec. 18, T ,. 6 S. R. 93 W. 6th P.M., as shown on the attached Pit Sketch which is part of this Agreement. That the Department has examined and tested the material on of land, a map of which is attached hereto as Exhibit "A". Said map and the legend thereon show the area which is the subject matter of this contract an the proposed haul road therefrom. Computations of the Department» concurred in by the Owner, indicate that there is a minimum of 5,000 cubic yards surface stratum. If any material Wh~tsoever is removed by the Department from the Owner' property described herein under the terms of this Agreement, the Department to remove the quantity described above and to pay for said material the sum . EIGHT HUNDRED AND N0/100 DOLLARS ($800.00). If no materlal is removed, no p is due the Owner. Payments are to be based on engineering estimates made b engineers of the Department every month, and the Department's Contractor is to pay on the 20th day of the following month for material removed . at the rate of sixteen cents (16t) per cubic yard of rip rap in place. Page 587 The Department is to remove said 5,000 cubic yards of riprap within a period of two (2) years from this date. Monthly payments are to be credited on said purchase price when received, and any balance remaining shall be paid at the end of the two year period. If removal is begun, but not completed, during the original 2-year period, riprap up to 5,000 cu. yd. may be removed at no further cost after being paid for as described above. The Owner shall be paid for any riprap removed in excess of 5,000 cubic yards during the original 2-year period, at the rate of sixteen cents (16¢) per cubic yard of riprap in place. The Owner hereby agrees to renew this Agreement for a second 2-year period after the end of the original two-year period if it is deemed necessary by the Department. Price of riprap on any renewal agreement shall be subject to nego- tiation. Said surface material is to be removed in accordance with the conditions indicated on said plat and, also, the conditions attached hereto and made a part hereto as page 4. The Department and its assigns shall have the right of ingress and egress to and from the subject premises and may employ any reasonable methods for removal of material. After the Department has completed its removal operations, it will leave the premises in a "heat condition. This Agreement is for removal ofmaterial for use on Department projects and maintenance only, and removal by any other persons, including the Department's Contractor or contractors for any purpose other than as herein provided, shall be under a separate agreement with the Owner and only with written approval of the Department. The Owner reserves all minerals, including oil and gas and lodes or veins of minerals in place which may be in or under the above-described stratum of said lands. It is understood and agreed that, upon the letting of a contract by the Department to a contractor for the construction, improvementp and maintenance of highways, the Department shall assign to the contractor all its right, title~· and interest under this instrument insofar as the same shall be applicable to the projects let to the contractor, and the contractor may reassign such agree- ment to subcontractors working on said projects.· The Owner hereby warrants that he has good title to the above described premises; that he has the lawful right to grant this Agreement, and that he • e Book 448 Page 588 • -3- agrees to hold the Department harmless from any and all claims from others a ing any interest in the subject land. Pit limits will be established (staked) by the Department. 2. The Contractor shall confine his activities and equipment within the limits of the pit and the haul road as shown on the pit sketch. 3. With regard to the use of explosives, the Owner's attention is called to Section 107.11 and 107.12 of the Standard Specifications for Road and Bridge Construction, adopted by the Department January 1, 1967, which states in part: nWhen the use of explosives is necessary for the prosecution of the work, the Contractor shall exercise the utmost care not to endanger life or property, including new work. The Contractor shall be responsible for all damage resulting from the use of explosives. All explosives shall be stored in a secure manner in compliance with all laws and ordinances, and all such storage places shall be clearly marked. When electric blasting caps are used, stored or moved in the vicinity of the work, warning signs prohibiting the use of radio transmitters and mobile telephones shall be posted. 11 Section 107.12 which states: ''The Contractor shall be responsible for the preservation of all public and private property and shall protect carefully from disturbance or damage all land monuments and property marks until the Engineer has witnessed or otherwise referenced their location and shall not move until directed. The Contractor shall be responsible for all damage or injury to property of any character, during the prosecution of the work, resulting from any act, omission, neglect, or misconduct in his manner or method of executing the work, or at any time due to defective work or materials, and said responsi- bility will not be released until the project shall have been completed and accepted. When or where any direct or indirect damage or injury is done to public or private property by or on account of any act, omission, neglect, or misconduct by the Contractor in the execution of the work, or in consequence of the non- execution thereof by the Contractor, he shall restore, at his own expense, such property to a condition similar or equal to that existing before such damage or injury was done, by repairing, rebuilding, or otherwise restoring as may be directed, or he shall make good such damage or injury in an acceptable manner." The Owner shall be notified by the Contractor of his blasting schedule. 4. The pit shall be left in a neat condition. The slopes shall be left as uniform as possible and any large holes left by the removal of large rock shall be filled and smoothed. 5. The Contractor will install any necessary pipes on the haul road at his own expense; such pipe shall be left in place upon completed of the Contractor's operation. 6. Any private road that is damaged by hauling will be repaired by the Contractor and left in as good a condition as it was originally. 7.
