Lauterbach (the "Principal"), presently of PO Box 2978, Telluride, Colorado, 81435, Is effective this __j�i'`__day of August, 2013. NATURE OF POWER 1. This is a Durable Power of Attorney and the authority of my Attorney -In -fact shall not terminate if I become disabled or incapacitated. PREVIOUS POWER OF ATTORNEY 2. 1 revoke any previous durable power of attorney even though I know of none granted by me. ATTORNEY-IN-FACT 3. I appoint Michael Lauterbach, presently of PO Box S026, Edwards, Colorado, 81632, to act as my attorney -In -fact. GOVERNING LAW 4. This document will be governed by the State of Colorado. Further, my Attorney-in-fact is directed to act In accordance with the laws of the State of Colorado at any time he may be acting on my behalf. LIABILITY OF ATTORNEY-IN-FACT 5. My Attorney-in-fact will not be liable to me, my estate, my heirs, successors or assigns for any actions taken or not taken under this document, except for willful misconduct, fraud, or gross negligence. EFFECTIVE DATE 6. The Power of Attorney will start immediately upon my execution of this document. SPECIFIC AND LIMITED POWER OF ATTORNEY-IN-FACT 7. As a fractional owner of Sundance Lot 17 at Aspen Glen, Carbondale, Colorado, 81623, I grant my Attorney-in-fact the power to encumber the lot with a construction loan in order to construct a residence and sell that residence, partially for my benefit. I also grant the authority to transfer my ownership of the lot to a corporate development entity to be selected by my Attorney-in-fact in order to more easily pursue development and in order to limit any potential development liability. ATTORNEY IN FACT COMPENSATION 8. My Attorney-in-fact will be entitled to receive all compensation and profits from residential development of the lot upon payment to me upon sale of the residence of $100,000 which pertains to my fractional ownership of the lot. SPECIAL FEATURES 9. A. My Attorney-in-fact will be entitled to obtain clear title to Sundance Lot 17 In order to affect residential development. B. My Attorney-in-fact is entitled to receive fair and reasonable compensation while developing the residence. C. This Power of Attorney is not transferable. D. This Power of Attorney is only subject to the powers, conditions and restrictions listed herein. E. Any third party who is presented a valid copy of this Power of Attorney can rely on it and act under it. F. If any portion of this document is found to be invalid or unenforceable under Colorado law, the remaining provisions will continue to be enforceable. ACKNOWLEDGMENT 10. I, Heidi M. Lauterbach, being the Principal named in this Durable Power of Attorney hereby acknowledge: A. I have read and understand this document. B. I recognize that the powers granted herein shall survive my incapacity. C. I am of legal age in the State of Colorado to grant a Durable Power of Attorney. D. I am voluntarily giving this Durable Power of Attorney which will become effective immediately.
