This request is written to formally notify the BOCC of work completed for
IRONBRIDGE PLANNED I-INIT DEVELOPMENT, PHASE II, FILINGS 1, 2 ANd 3
On behalf of the Owner, LB ROSE RANCH LLc,Irequest that the BOCC review the
attached Engineer's Certificate of Completion and approve a full release of the collateral
pledge under that certain agreement entitled, "GARFIELD COI-INTY TREASURER'S
DISBURSEMENT AGREEMENT, Ironbridge Subdivision, Phase II, Filings 1,2 and3,
executed by and between the BOCC and Owner on February 08,2007 and recorded in the
records of the Clerk and Recorder for Garfield County, Colorado as Reception No.
716930on date even therewith in the amount of $
Attached is the certified original cost estimate and work completed schedule, showing
that all improvements required by the Improvements Agreement and secured by the
Letter of Credit have been completed.
Also enclosed are the following, required by that SUBDIVISION IMPROVEMENTS
AGREEMENT dated June2l,2006 between Owner and the BOCC, recorded at
Reception No.702421in the records of the Clerk and Recorder for Garfield County,
Colorado on July 19,2006 (the "SIA"):
1. record drawings bearing the stamp of Owner's Engineer certiSzing that all
improvements have been constructed in accordance with the requirements of the
IA, both in hard copy and digital format acceptable to the BOCC; and
2. copies of instruments conveying real property and other interests which Owner
was obligated to convey to the homeowner's association or other entity at the time
of Final Plat Approval.

We are rhe attorneys fbr Lehman Brothers l{oldings Inc. ("LBHI"), LB Rose Ranch Ll-C ("Rose
Ranch"). and their afflliated debtors (collectively, the "Debtors"). Commencing on September 15.2008
and periodically thereafter, I-BFII and certain of its subsidiaries commenced with the lJnited States
Bankruptcy Court for the Southern District of New York voluntary cases under chapter I I of title I I of
the Uniied States Code (the "Bankruptcy Code"). The Debtors' chapter l1 cases have been consolidated
fbr procedural purposes only and are being iointty administered pursuant to Rule l0l 5(b) of the Federal
Rules of Bapkruptcy Procedure, The cases have been assigned Case No. 08-13555 (JMP)'
The Debtors, including Rose Ranch, are authorized to operate their businesses and manage their
properties as debtors in possession pursuant to sections 1107(a) and I108 of the Bankruptcy Code.
We understand from Timothy A. Thulson, Esq., Rose Ranch's local counsel, that Rose Ranch has
completed the activities required of it under that certain agreement titled "IRONBRIDGE PLANNED
UNIT DEVELOPMENT, PHASE II. FILINGS 1,2 and 3" and dated Septenrber I3, 1999. Accordingly,
we understald that Rose Ranch intends to request that the Board of County Commissioners approve a
full release of the collateral pledge under that certain agreement titled "GARFIELD COLINTY
I'REASURER'S DISBURSEMENT AGREEMENT, Ironbridge Subdivision, Phase II, Filings 1,2 and
3, and dated February 8, 2007 (the "Disbursement Agreement")'
This letter confimrs that Rose Ranch is authorized to accept the return of the collateral pledged pursuant
to the Disbursement Agreement. We are informed by Rose Ranch that such amounts should be

AND GRANT OF EASEMENT

RANCH LLC, a Delaware Limited Liability Company, who address is 430 Ironbridge Drive,
Glenwood Springs, CO 81601 (hereinafter "Grantor"), and ROARING FORK WATER &
SANITATION DISTRICT, a special district organized and existingunder the laws of the State of
Colorado whose address is 9929 Highway 82, Carbondale, CO 81623 (hereinafter "Grantee,,).
RECITALS
L. Grantor is the owner and/or developer of certain lands located in Garfield County,
Colorado, now known as the Ironbridge Planned Unit Development, Phase I and Phase II, Filings 1,
2 and 3 (formerly the "Rose Ranch Planned Unit Development" and hereinafter "Ironbridge,), as
approved and described in the Final Plats therefore filed in the records of the Clerk.and Recorder for
Garfield County, Colorado, June L6, 2004 as Reception No. 6542L0 and on July 19, 2006 as
Reception No.702420, respectively (hereinafter collectively "Final plat").
2- Grantee is a Colorado Special District organized and existing under the laws of the
State of Colorado as created by Order of the District Court in and for Garfield County entered on
May 5, L994, in Case No. 94CV29 as anended on March 20,2003, in Case No. 94CV29.
3. Pursuant to Case No. 94CV29, the real property encompassing all of the residential
development within Ironbridge was included within Grantee=s service area subject to the terms and
conditions of the following entitled agreements (hereinafter collectively, "pre-Inclusion
Agreements") executed by Grantee, Grantor and Grantor's predecessor in interest, Roaring Fork
Investments, LLC, to wit:
A. ROARINGFORKWATER&SANITATIONDISTRICT/ROARINGFORK
INVESTMENTS, LLC PRE-INCLUSION AGREEMENT; and
b. ROARING FORK WATER & SANITATION DISTRICT/IJ ROSE RANCH
Lrc PRE-INCLUSION AGREEMENT @omestic Water).
4. Under the Pre-Inclusion Agreements, Grantor is required to construct within
honbridge all facilities necessary for the provision by Grantee of domestic water and sanitation
service therein, and upon completion of construction of such facilities to dedicate and convey the

same together with all required easements to Grantee, all as is more particularly provided in the Pre-
Inclusion Agreements.
5. The Resolution, Service Plan and Pre-Inclusion Agreements require that Grantor
construct water and wastewater utility facilities as detailed therein, and upon completion of such
facilities to dedicate and convey the same to the Grantee, all as more particularly described therein
by Certifications of Dedication and Ownership set forth upon the Final Plat.
6. Grantor has now substantially completed construction of those portions of the
wastewater collection system and water delivery system necessary to serve those properties contained
within the Final Plat and desires to execute and deliver this deed pursuant to the terms of the
Inclusion Agreements.
Now, THEREFoRE, Grantor, for and in consideration of the sum of Ten Dollars ($10.00) in
hand paid to it and for other good and valuable consideration, the receipt and sufficiency of which
are hereby acknowledged, has granted, bargained, sold and conveyed, and by these presents does
grant, bargain, sell, convey and confirm unto Grantee and its successors and assigns forever, all of
the real property, together with the improvements thereon, if any, lying and being in the County of
Garfield, State of Colorado, more particularly described as follows, to-wit:
A perpetual, non-exclusive easement over all portions of the Final Plat which are
identified and depicted thereon as utility easements or water or sewer facilities
easements, for the purposes of construction, maintenance, operation, repair and
replacement of water and sewer utility facilities, and access thereto; provided,
however, that the easements conveyed hereby are subject to the following covenants
and restrictions for the benefit of Ironbridge and all owners of property therein, which
covenants and restrictions shall constitute covenants running with the land:
AII such easements are non-exclusive and may be shared by
other appropriate utility companies, Grantor, or the Ironbridge
Property Owners Association (hereinafter, "Homeowners
Association"), their rpspective successors and assigns, for
utility, irrigation or drainage purposes.
11.That to the greatest extent practicable all water and sewer
utility facilities shall be placed underground and in the limited
circumstances where above ground structures are necessary,
all such structures shall comply with the applicable provisions
of the Restated Declaration of Covenants, Conditions,
Restrictions and Easements for Ironbridge recorded in the
records of the Clerk and Recorder for Garfield County,
Colorado March 'I..8,2003, as Reception No. 623L33.

llt.Except in emergency situations, Grantee shall provide Grantor
and the Homeowners Association seventy-two (72) hours
advance notice of any activity (other than routine repair and
routine maintenance) by Grantee within the easements that
would interfere with the use of the surface of such easements
by Grantor or the Homeowners Association, or their
respective successors and assigns. In all situations Grantor
and Grantee shall fully cooperate and coordinate theii
activities so that Grantee=s work within the easements will
minimize the disruption to Grantor=s use and enjoyment of
the encumbered property.
1V I-u the event Grantee is required to excavate in any portion of
any of the easements granted hereby that are not within a
street or right-of-way therefor for the purposes of
rnaintenance, repair or replacement of any of Grantee=s utility
lines, Grantee shall restore any such excavation to rough-
grade, but shall not be obligated to restore the surface of the
ground, which obligation shall be assumed by the Grantor or
the Homeowners Association or theirrespective successors in
interest. Grantee will remove any construction debris
resulting from such work and shall use reasonable efforts to
rninimize damage to the surface. Upon any excavation by
Grantee within any easement that is located within a street or
right-of-way therefor for the purposes of maintenance, repair
or replacement of any of Grantee=s utility lines, Grantee shall
resto.re the surface of such street or roadway to its condition
immediately prior to the excavation.
Together with that parcel of real property identified within the Final Plat as the
Sanitation District Parcel.
And reserving, however, to the Grantor and to the Homeowners= Association, and
their respective successors and assigns, the perpetual right to make such use of the
surface of said easements as is reasonably necessary to further the purposes and
objectives of Ironbridge in such a manner so as not to unreasonably interfere with the
use of the easements by Grantee for the purposes herein set forth.

All of Grantor's interest in and to the water and water rights, ditch and ditch rights, reservoirs and
reservoir rights, springs and spring rights, wells and ground water rights owned bfGrantor, described
in the attached Exhibit A, which is incorporated'herein by this reference, and which are subject to the
terms and conditions of the Decrees in Colorado Water Division 5, Case Nos. 97CW236 and
00CW0l9; and
An undivided 8.8% interest in the senior historic consumptive use credits from the water and water
rights and ditch and ditch rights de.scribed in Exhibit B, which is incorporated herein by this reference.
Said consumptive use credits were decreed available for augmentation diversions fromthe Posey hrmp
and Pipeline, Robertson Dirch Rose Enlargement Rose Ranch Pond Nos. I through 10, and the O'Neiil
Reservoir First Enlargement in Case No. 97CW236, and which are subject to the terms and conditions
of the Decrees in Case Nos. 97CW236 and 00CW0l9;
TOGETHER WITH a pro-rata interest in the plan for augmentation including exchange and subject to
the limitations described in the Decrees in Case Nos. 97CW236 and 00CW0l9; and
WITH THE EXCEPTION that no more than a cumulative maximum amount of 2.0 c.f.s. of the water
rights described in Exhibit A may be diverted at any given time; and
WITH THE EXCEPTION that the water rights described in Exhibit A may only be used for in-house
domestic, fire protection and incidental lawn and garden inigation uses within the Rose Ranch
development and tho$e uses are defined and limited by the Decree in Case No. 97CW236; and
RESERVING to Grantor and its assigns all other water and water rights, ditch and ditch rights,
rescrvoirs and reservoir rights, springs and spring rights, wells and ground water rights dascribed in the
attached Exhibits A and B, and all other historic consumptive use credits and dppropriate rights of
exchange decreed in Case Nos. 97CW236 and 00CW019, Water Division 5, Colorado.
TO IIAVE AI\D TO HOLD the same, together with all and singular the appurtenances and privileges
thereunto belonging or in anyway appurtenant thereto, and all the estate, right, title, interest and claim whatsoever,
of the Grantor, either in law or equity, to the only proper use, benefit and behoof of the Grantee, its successors and

Landscaping and Common Areas
Dear Fred and Carol
I wanted to update you on the resolution of the Aspen Collection common area
landscaping issues. As you know, on October 22,2010,I sent you a letter outlining some of
the problems we have been having reaching an agreement concerning the completion of
landscaping in the Aspen Collection, Phase II, Filing 3 of the Ironbridge PUD.
I am enclosing, for your reference, a copy of the Agreement we have reached with LB
Rose Ranch, LLC regarding the landscaping of certain portions of the Aspen Collection
common elements. In summary, LB Rose Ranch, LLC has agreed to install temporary surface
irrigation and to install native grass seed on portions of the Aspen Collection common
elements that lie adjacent to the lots owned by the ten (10) Aspen Collection lot owners who
are represented by this firm. A graphic depiction of the area to be landscaped is enclosed.
To insure completion of the landscaping this spring, LB Rose has further agreed to
create an escrow account with Land Title Guarantee Company in the amount of $15,000.00.
The remaining common area landscaping will be completed by LB Rose or its successors and
assigns at the time the remaining lots are conveyed to a third party for further development.
The ten (10) lot owners who are aparty to this Agreement are satisfied with this compromise.Accordingly, I withdraw my request for !h9 r-etention of any funds or securityl"ing retainedby the Countypursuant to the July 2006 subdivision Improvements Agreement applicable tothese lots.

Through October 7,2008, based on periodic observations ofthe construction in progress, the road,
earthwork and utility improvements listed in the Engineer's Estimate of Probable Construction Cost
have been cornpleted in compliance with the Subdivision's Improvement Agreement, approved
construction documents, and Garfield County Regulations. We are requestingthat this be a full
release of the current LOC.
Please see the enclosed sumtnaries of the costs being requested on the three areas (filings) of the
project. We are requestingthe funds inthe amountof $259,218.73be released and considered
complete. This leaves $0,00 ofcollateral onthis project. This project, considering all associated
infrastructure and development improvements is complete.

IMPROVEMENTS AGREEMENT ("Agreement") is made and
of 2006, by and benveen LB ROSE
RANCH LLC ("Owner") and the RD COUNTY COMMISSIONERS OF GARFIELD
COUNTY, COLORADO, acting the County of Garfield, State of Colorado, as a body politic
and corporate, directly or through its authorized representatives and agents ("BOCC")
WHEREAS, Owner is the owner and developer of that real property located within
Garfield County, Colorado heretofore subdivided into lots and blocks under the Amended and
Restated Final Plat, Ironbridge Planned Unit Development, Phase 1 recorded in the records of the
Clerk and Recorder for Garfield County, Colorado on June '1,6,2004, as Reception No. 654270
(collectively the, "Phase II Property);
WFIEREAS, the Phase II Property is subject to planned unit development zoning
hererofore estabtished by the BOCC under Resolution Nos. 98-80 ,99-067,2U)4-20 and 2006-35
recorded in the records of the Clerk and Recorder for Garfield County, Colorado on Sep. 09,
1998, June 08, 1999, February lL,2OO4 and March 22,2006 as Reception Nos. 531935,546856,
646387 and 694478, respectively ("Zoning Approvals");
WHEREAS, on February 21,2006, the BOCC, by Resolution No. 2006-34, heretofore
recorded in the records of the Clerk and Recorder for Garfield County on March 22,20O6 as
Reception No. 694478, approved a Preliminary Plan for the re-subdivision of the Phase II
Property which, inter alia, would create 173 single-family residential lots, open space, golf
course and utility parcel ("Preliminary Plan Approval");
WHEREAS, as a condition of approval of the Final Plat for the of the re-subdivision of
the Phase Il Property (hereinafter the, "subdivision"), submitted to the BOCC for approval as
required by the laws of the State of Colorado, Owner wishes to enter into this Agreement with
the BOCC; and
WHEREAS, Owner has agreed to execute and deliver a specific form of collateral to the
BOCC to secure and guarantee Owner's performance under this Agreement and has agreed to
certain restrictions and conditions regarding the sale of properties and issuance of building
permits and certificates of occupancy, all as is more fully set forth hereinbelow.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained
herein, the parties agree as follows:
1. FINAL PLAT APPROVAL. The BOCC hereby accepts and approves the Final
Plat of the Subdivision, on the date set forth above, subject to the terms and conditions of this

Agreement, the Prelirninary PIan Approval, the Zoning Approvals, and the requirements of the
Garfield County zoning and subdivision regulations and any other governmental or quasi-
governmental regulations applicable to the Subdivision ("Final Plat Approval"). This approval
authorizes construction and development within Phase II Filings I,2, and 3, of the Ironbridge
Subdivision as approved under the Zoning Approvals and the Preliminary Plan Approval.
Development within future phases shall require further approval(s) by the BOCC of subdivision
final plat(s) and associated subdivision improvements agreement(s) and other documents
required for approval by the BOCC of future phases. Recording of the Final Plat shall be in
accordance with this Agreement and at the time prescribed herein.
2. OWNER'S PERFORMANCE. Owner shall cause to be constructed and
installed, those subdivision improvements, identified in Subparagraph a. hereinbelow
("subdivision Improvements"), at its own expense, including payment of all fees required by the
County and/or other governmental and quasi-governmental entities with jurisdiction. The
Subdivision Improvements shall be completed on or before the end of the first full year_
following execution of this Agreement, i.e., 0tth ^ '

a. Plans marked "Approved for Construction" for all Subdivision Improvements for
the Subdivision, prepared by High Country Engineering, Inc. listed within Exhibit A, attached
hereto and made a part hereof; the estimated of cost of completion, certified by and bearing the
stamp of Owner's professional engineer licensed in the State of Colorado ("Owner's Engineer"),
attached to and made a part of this Agreement by reference as Exhibit B; and all other
documentation required to be submitted along with the Final PIat under pertinent sections of the
Garfield County subdivision and zoning regulations ("Final Plat Documents");
b. AII requirements of the Preliminary Plan Approval;
c. All Zone District Regulations and other requirements approved by the BOCC
under the Zoning Approvals;
d. All laws, regulations, orders, resolutions and requirements of the State of
Colorado, Garfield County, and all special districts and any other governmental or quasi-
governmental authority(ies) with jurisdiction; and
e. The provisions of this Agreement.
The BOCC agrees that if all the Subdivision Improvements are constructed installed in
accordance with this Paragraph 2; lhe record drawings to be submitted upon completion of the
Subdivision Improvements as detailed in paragraph 3 (c), below; and all other requirements of
this Agreement, then the Owner shall be deemed to have satisfied all terms and conditions of the
7-oning Approvals, the Preliminary Plan Approval, the Final Plat Documenrs and the Garfield
County zoning and subdivision regulations, with respect to the installation of Subdivision
Improvements.

3. SECURITY FOR IMPROVEMENTS.
a. lrtter of Credit. As securi ty for Owner's obligation to complete the Subdivision
Improvements, Owner shall deliver to the BOCC, on or before the date of recording of the Final
Plat of the Subdivision with the Garfield County Clerk and Recorder, one or more lrtters of
Credit in the form agreed to be acceptable to the BOCC, hereto and made a part of this
Agreement Exhibit C ("LOC"), or such other form of security as may be deemed acceptable to
the BOCC as provided in paragraph 3 (g), below. The LOC shall be in the amount of
$4,311 ,455.32, representing the full estimated cost of completing the Subdivision Improvements,
including a sufficient contingency to cover cost changes, unforeseen costs and other variables
(not less lhan lOVo of the estimated costs and as approved by the BOCC), the cost of Subdivision
Improvements already completed as of the date of execution of this Agreement, all as are as set
forth and certilied by Owner's Engineer on Exhibit B.
b. Revegetation Security. Revegetation of disturbed areas in the Subdivision shall
be secured by delivery of a L"etter of Credit in a form acceptable to the BOCC, attached to and
incorporated in this Agreernent by reference as Exhibit C or such other form of security as may
be deemed acceptable to the BOCC as provided in paragraph 3 (h) below, in the amount of
$t$4;Zt4ot from the Owner to the BOCC ("Revegetation LOC"). The Revegetation LOC
or such other form of accepted security shall be valid for a minimum of two (2) years following
the recording of the Final Plat and shall be subject to the following provisions:
Upon establishment of vegetation, the Owner shall request review of the
revegetation work by the Garfield County Vegetation Management Department,
by telephone or in writing. Such review shall be for the purpose of verification of
success of revegetation and reclamation in accordance with the Garfield County
Weed Management Plan z}0[l., adopted by Resolution No. 2002-94 and recorded
in the Office of the Garfield County Clerk and Recorder as Reception No.
580572, at Book 725'1., Page 566, as amended, and the Revegetation/Reclamation
Plan for the Subdivision submitted for Preliminary Plan Approval.
Following receipt of written approval of the Vegetation Management Department,
the Owner may submit to the BOCC, through the Building and Planning
Department, a written request for release of the Revegetation LOC, along with
certification of completion by the Owner, or Owner's agent with knowledge, and
a copy of the written approval of the Vegetation Managernent Department.
iii. If the Vegetation Management Department refuses approval and provides written
notice of deficiency(ies), the Owner shall cure such deficiencies by further
revegetation efforts, approved by the Vegetation Management Department, as
such may be instituted within the two years following recording of the Final Plat.
iv. If revegetation efforts are deemed unsuccessful within the two year period of
time, in the sole discretion of the BOCC and upon the recommendation of the
Vegetation Management Department, or if the BOCC determines that the Owner
will not or cannot complete revegetation, the BOCC may withdraw and employ

from the Revegetation LOC such funds as may be necessary to carry out the
revegetation work, up to the amount of Revegetation LOC.
In lieu of or in addition to drawing on the Revegetation LOC, the BOCC may
bring an action for injunctive relief or damages for the Owner's failure to adhere
to the provisions of this Agreement related to revegetation. The BOCC shall
provide the Owner a reasonable time to cure any identified deficiency prior to
requesting payment from the Revegetation LOC or filing a civil action.
vl It is specifically understood that the Revegetation LOC is not subject to
successive partial releases, as authorized in subparagraph 3(c) below. Further, the
Revegetation LOC, and the BOCC's associated right to bring a court action, shall
survive final release of the Revegetation LOC.
c. LOC and Reveeetation LOC Reqqirements. The LOC and the Revegetation LOC
required by this Agreement shall be issued by a state or national banking institution acceptable to
the BOCC. If the institution issuing the same is not licensed in the State of Colorado and
transacting business within the State of Colorado, the LOC and the Revegetation LOC shall be
"confirmed" within the meaning of the Uniform Commercial Code, Letters of Credit, $4-5-101
et seq., C.R.S., as amended, by a bank that is licensed to do business in the State of Colorado,
doing business in Colorado, and acceptable to the BOCC. The LOC shall be valid for a
minimum of six (6) months beyond the completion date for the Subdivision Improvements set
forth herein and, as to the Revegetation LOC, a minimum of two (2) years following recording of
the Final PIat. If the time for completion of Subdivision Improvements, including revegetation,
is extended by a written amendment to this Agreement, the time period for the validity of the
LOC shall be similarly extended by the Owner. For each six (6) month extension, the face
amount of the LOC and if applicable, the Revegetation LOC, at the sole option of the BOCC,
shall be subject to recertification of cost of completion by Owner's Engineer and review by the
BOCC for a possible increase in their face amounts in order to assure sufficiency of the amount
of security to allow possible completion of the Subdivision Improvements and revegetation by
the BOCC under terms of this Agreement. Additionally, should either the LOC or Revegetation
LOC become void or unenforceable for any reason, including bankruptcy of the Owner or the
financial institution issuing or confirming the LOC or Revegetation LOC, prior to the BOCC's
approval of Owner's Engineer's certification of completion of the Subdivision Improvements,
this Agreement shall become void and of no force and effect and the Final Plat shall be vacaled
pursuant to the terms of this Agreement.
d. Partial Releases of Securitl',. Owner shall request partial release(s) of the LOC by
means of submission to the Building and Planning Department of a "Written Request for Partial
Release of LOC," in the form attached to and incorporated herein as Exhibit D, accompanied by
the Owner's Engineer's Certificate of Partial Completion of Subdivision Improvements. stamped
by Owner's Engineer. The Owner's Engineer's seal shall certify that the Subdivision
Improvements have been constructed in accordance with the requirements of this Agreement,
including all Final Plat Documents, the Zoning Approvals and the Preliminary Plan Approval.
Owner rnay also request release for a portion of the security upon proof that 1) Owner has a valid
contract with a public utility company regulated by the Colorado Public Utilities Commission

obligating such company to install certain utility lines; and 2) Owner has paid to the utility
company the cost of installation as required by the contract. The BOCC shall authorize
successive releases of portions of the face amount of the LOC as portions of the Subdivision
Improvernents, other than revegetation, required hereunder are certified as complete to the
BOCC by the Owner's Engineer and said certification is approved by the BOCC.
e. BOCC's Investigation. Notwithstanding the foregoing, upon submission of the
Owner's Written Request for Partial Release of LOC, along with Owner's Engineer's Certificate
of Partial Completion of Subdivision Improvements, the BOCC may review the certification and
may inspect and review the Subdivision Improvements certified as complete to determine
whether or not said Subdivision Improvements have been constructed in compliance with
relevant specifications, as follows:
If no letter of potential deficiency is furnished to Owner by the BOCC within
fifteen (15) days of submission of Owner's Written Request for Partial Release of
LOC accompanied by Owner's Engineer's Certificate of Partial Completion of
Subdivision Improvements, all Subdivision Improvements certified as complete
shall be deemed complete by the BOCC, and the BOCC shall authorize release of
the appropriate amount of security.
ll.If the BOCC chooses to inspect and determines that all or a portion of the
Subdivision Improvements certified as complete are not in substantial compliance
with the relevant specifications, the BOCC shall furnish a letter of potential
deficiency to the Owner, within fifteen (15) days of submission of Owner's
Written Request for Partial Release of LOC accompanied by Owner's Engineer's
Certificate of Completion of Subdivision Improvements.
lll.If a letter of potential deficiency is issued identifying a portion of the certified
Subdivision Improvements as potentially deficient, then all Subdivision
Improvements not identified as potentially deficient shall be deemed complete
and the BOCC shall authorize release of the amount of security related to the
certified Subdivision Improvements that are not identified as potentially deficient.
IV With respect to Subdivision Improvements identified as potentially deficient in a
letter of potential deficiency, the BoCC shall have thirty (30) days from the date
of the letter to complete the initial investigation, begun under subparagraph 3.d.ii.,
above, and provide written confirmation of the deficiency(ies) to the Owner.
v If the BOCC finds that the Subdivision Improvements are complete, in
compliance with the relevant specifications, then the appropriate amount of
security shall be authorized for release within ten (10) days after completion of
such investigation.
f. BOCC Completion of Improvemeu. If the BOCC finds, within the thirry (30)
day period of time, defined in subparagraph 3 (e)(iv) above, that the Subdivision Improvements
are not complete or otherwise deficient, or if the BOCC determines that the Owner will not or

cannot @nstruct any or all of the Subdivision Improvements, whether or not Owner has
submitted a written request for release of LOC, the BOCC may withdraw and employ from the
LOC such funds as may be necessary to construct the Subdivision Improvements in accordance
with the specifications, up to the face amount, or remaining face amount, of the LOC. In such
event, the BOCC shall make a written finding regarding Owner's failure to comply with this
Agreement prior to requesting payment from the LOC. In lieu of or in addition to drawing on
th; LOC, th; BOCC miy bring an action for injunctive relief or damages for the Owner's failure
to adhere to the provisions of this Agreement. The BOCC shall provide the Owner a reasonable
time to cure any identified deficiency(ies) prior to requesting payment from the LOC or filing a
civil action.
g. Final Release of Security. Upon completion of all Subdivision Improvements,
Owner shall submit to the BOCC, through the Building and Planning Department: L) record
drawings bearing the stamp of Owner's Engineer certifying that all Subdivision Improvements
have been constructed in accordance with the requirements of this Agreement, including all Final
Plat Documents, the Zoning Approvals and the Preliminary Plan Approval, in hard copy and a
digital format acceptable to the BOCC; 2) copies of instruments conveying the real property and
other interests which Owner is obligated to convey to the lronbridge Property Owners'
Association or any statutory special district, including but not limited to the Roaring Fork Water
and Sanitation District ("District") or other entity by the terms of this Agreement, the Final PIat
Documents, the Zoning Approvals or the Preliminary PIan Approval; and 3) a Written Request
for Final Release of LOC, in the form attached to and incorporated herein as Exhibit E, along
with Owner's Engineer's Certificate of Final Completion of Subdivision lmprovements.
The BOCC shali authoize a final release of the LOC after the Subdivision
Improvements are certified as final to the BOCC by the Owner's Engineer and
said final certification is approved by the BOCC. If the BOCC finds that the
Subdivision Improvements are complete, in accordance with the relevant
specifications, the BOCC shall authorize release of the final amount of security
within ten (10) days following submission of the Owner's Written Request for
Final Release of LOC accompanied by the other documents required by this
paragraph 3(g).
ii. Notwithstanding the foregoing, upon Owner's Written Request for Final Release
of LOC accompanied by Owner's Engineer's Certificate of Final Completion of
Subdivision Improvements, the BOCC may inspect and review the Improvements
certified as complete. If the BOCC does so review and inspect, the process
contained in paragraph 3(e) above shall be followed.
lll.If the BOCC finds that the Subdivision Improvements are complete, in
accordance with the relevant specifications, the BOCC shall authorize release of
the final amount of security within ten (10) days after completion of such
investigation. If necessary, the BOCC may complete remaining Subdivision
Improvements in acrordance with process outlined in Paragraph 3(f) above.

h. Substitution of Lrtter of Credit. The BOCC, at its sole opinion, may Permit the
Owner to substitute collateral other than a letter(s) of credit, in a form acceptable to the BOCC,
for the purpose of securing the cornpletion of the Subdivision Improvements and/or revegetation
requirements.
i. Recording of Final Plat. The Final Plat of the Subdivision shall not be recorded
until the security described in this paragraph 3 has been received and approved by the BOCC.
4. WATER SUPPLY AI\D WASTEWATER COLLECTION. PriOr tO iSSUANCE
of any certificates of occupancy by the BOCC for any residences or other habitable structures
Iocated and constructed within the Subdivision, the owner thereof shall install and connect the
same, in accordance with the approved plans and specifications, to the facilities owned and
maintained by the District providing potable water, fire protection flows and wastewater/sewer
collection. AII easements and rights-of-way necessary for installation, operation, service and
maintenance of such water supply and distribution system and wastewater collection system shall
be as shown on the Final Plat, excepting those service lines extending from the Lot Iine(s) to the
individual structures. Conveyance of said system(s), to the District from the Owner, including
all real and personal property interests, shall be in accordance with Paragraph 7, below. Owner'
warranties instant to said conveyances are set forth within Pre-lnclusion Agreements entered into
by Owner and the District dated September 13, 1999 and December 70,2002, respectively, and
heretofore incorporated within the Zoning Approvals and Preliminary PIan Approval.
5. PUBLIC ROADS. All roads within the Subdivision shall be dedicated to the
public as public righs-of-way. Road rights-of-way shall be dedicated by the Owner and
accepted by the BOCC, on behalf of the public, on the face of the Final Plat. The lronbridge
Property Owners Association Inc. and its sub-associations shall be solely responsible for the
maintenance, repair and upkeep of said rights-of-way, including the traveled surface of the
roadways and portions of the rights-of-way outside of the traveled surface. The BOCC shall not
be obligated to maintain any road rights-of-way within the Subdivision.
6. CONVEYANCE OF COMMON AREA, ROAD RIGHTS.OF.WAY,
WATER SUPPLY SYSTEM AND WASTEWATER COLLECTION SYSTEM. In addition
to all dedications contained within the Final Plat, the common area and all utility easements
appurtenant to the water supply system and wastewater collection system contained within the
Subdivision shall be conveyed by quitclaim deed ("Common Area and Easement Deed(s)").
Recordation of the Common Area and Easement Deed(s) in the records of the Clerk and
Recorder for Garfield County, Colorado shall occur coincident with the filing of the Final Plat
and this Agreement. All facilities and equiprnent contained within the water supply system and
wastewater collection system shall be transferred by Owner to the District pursuant to bill of
sale.
If the Common Area and Easement Deed(s) cannot be recorded with the Clerk and
Recorder at the same time the Final PIat and this Agreement are filed, Owner shall ex.ecute and
deliver the Common Area and Easement Deed(s) into escrow with l-and Title Guarantee
Company, Glenwood Springs, Colorado as escrow agent, pursuant to the terms and conditions of
the standard escrow agreement for Land Title, attached hereto and made a part hereof as Exhibit

F ("Escrow Agreement"). Owner shall deliver to the BOCC a copy of the fully executed Escrow
Agreemdnt, within a reasonable time following mutual execution of this Agreement, but need not
record such instrument. The special instructions of the Escrow Agreement shall provide:
1) Escrow Agent shall hold the Common Area and Easement
Deed(s) until the earlier of: a) receipt of a written notice signed
only by Owner notifying escrow agent that the work required of
the Owner in this Agreement has been completed and approved as
complete by the BOCC; or b) receipt of a written notice signed
only by the BOCC stating that Owner has failed to comply with the
terms and conditions of this Agreemen! or c) the completion date
for the Subdivision Improvements, specified in paragraph 2, above,
or as extended in accordance with paragraph t8 of this Agreement;
and
2) upon the first to occur of the foregoing events, the escrow agent
shall cause the Common Area and Easement Deed(s) to be
recorded in the records of the Garfield County Clerk and Recorder.
7. INDEMNITY. The Owner shall indemnify and hold the BOCC harmless and
defend the BOCC from all claims which may arise as a result of the Owner's installation of the
Subdivision lrnprovements and any other agreement or obligation of Owner related to
development of the Subdivision as required pursuant to this Agreement. The Owner, however,
shall not be required to indernnify the BOCC for claims made asserting that the standards
imposed by the BOCC are improper or the cause of the injury asserted, or from claims which
may arise from the negligent acts or omissions of the BOCC or its employees. The BOCC shall
be required to notify the Owner of the BOCC's receipt of a notice of claim or a notice of intent to
sue, and the BOCC shall afford the Owner the option of defending any such claim or action.
Failure to notify and provide such written option to the Owner shall extinguish the BOCC's
rights under this paragraph. Nothing in this paragraph shall be construed to constitute a waiver
of the Sovereign Immunity granted to the BOCC by Colorado statutes and case law.
8. ROAD IMPACT FEE. Owner's credit for the off-site road improvements to
County Road 109 as certified by Owner's Engineer within Exhibit G, attached hereto and made a
part hereot exceed the applicable Road Impact Fee as calculated under the worksheet also
incorporated within said Exhibit G; accordingly, no Road Impact Fee is owed,
9. FEES IN LIEU OF DEDICATION OF SCHOOL LAND. Owner shall make a
cash payment in lieu of dedicating land to the RE-1 School District, calculated in accordance
with the Garfield County subdivision regulations and the requirements of state law. In
accordance with the above regulations and requirements the fee in lieu of dedication shall be
computed as follows:

Land dedication stand.ard provided in the Garfield county

Total amount of cash in lieu payment: $43,510.00 x 3.46 =
$150,544.60
The owner, therefore, shall pay to the Garfield county Treasurer, at or prior to the time of
recording of the Final Plat, One Hundred Fifty Thousand Five Hundred Forty-four Dollars and
Sixty Celnts ($150,544.60) as a payment in lieu of dedication of land to the RE-1 School District.
Said fee shall be transferred Uy ifre BOCC to the school district in accordance with the provisions
of g30-28-133, C.R.S., as amended, and the Garfield County subdivision regulations.
The Owner agrees that it is obligated to pay the above-stated fee, accepts such obligation, and
waives ury "lri* that Owner is not requiied to pay the cash in lieu of land dedication fee. The
Owner ugi"", that Owner will not claim, nor is Owner entitled to claim, subsequent to recording
of the Finat plat of the Subdivision, a reimbursement of the fee in lieu of land dedication to the
RE-l School District.
10. SALE OF LOTS. No lots, tracts, or parcels within the Subdivision may be
separately conveyed prior to recording of the Final Plat in the records of the Garfield County
Clerk and Recorder.
7L. BUILDING PERl\flTS AND CERTIFICATES OF OCfl.]PANCY. AS ONE
remedy for breach of this Agreement, the BOCC may withhold issuance of building permits for
any residence or other habitable structure requiring a permit, to be constructed within the
SuLdivision. Further, no building permit shall be issued unless the Owner demonstrates to the
satisfaction of the Carbondale nurat and Fire Protection District ("Fire District") that there is
adequate water available to the construction site for the Fire District's purposes and all
applicable District fees have been paid to the District. Further, the parties agree that no
certificates of occupancy shall issue for any buildings or structures, including residences, within
the Subdivision uniil ali Subdivision Improvements have been completed and are operational as
required by this Agreement, excepting revegetation. Owner shall provide the purchaser of a lot,
pribr to corr"yurc" of the lot, a signed copy of a form in substantially the same form as that
attached to and incorporated herein by reference as Exhibit H, concerning the restrictions upon
issuance of building permits and certificates of occupancy detailed in this Agreement'
tZ. ENFORCEMENT. In addition to any rights which may be provided by
Colorado statute, the withholding of building permits and certificates of occuPancy provided for
in paragraph 11 above, and the provisions for release of security, detailed in paragraph 3 above,
it ii mutuilly agreed by the BOCC and the Owner that the BOCC, without making an election of
remedies, or any purchaser of any lot within the Subdivision shall have the authority to bring an
action in rhe Garfield County District Court to compel enforcement of this Agreement. Nothing

action in the Garfield County District Court to compel enforcement of this Agreement. Nothing
in this Agreement, however, shall be interpreted to require the BOCC to bring an action for
enforcement or to withhold permits or certificates or to withdraw and use security. Nor shall this
paragraph or any other provision of this Agreement be interpreted to permit the purchaser of a lot
to file an action against the BOCC.
13. CONSENT TO VACATE PLAT. In the event the Owner fails to comply with
the terms of this Agreement, the BOCC shall have the ability to vacate the Final Plat as it
pertains to any lots for which building permits have not been issued. As to lots for which
building permits have been issued, the plat shall not be vacated and shall remain valid. In such
event, the Owner shall provide the BOCC a survey, legal description and a plat showing the
location of any portion of the Final Plat so vacated and shall record the plat in the Office of the
Garfield County Clerk and Recorder. If such plat is not recorded by the Owner, the BOCC may
vacate the plat, or portions thereof, by Resolution. It is specifically agreed that this paragraph 14
applies to the Subdivision as a multi-phased project and, therefore, in the event the BOCC
vacates the Final Plat as to the Subdivision, subject of this Agreement, the BOCC may also
withhold approval of a final plat for a future phase if Subdivision Improvements covered by this
Agreement are not completely installed and operable.
14. NOTICE BY RECORDATION. This Agreement shall be recorded in the
Office of the Garfield County Clerk and Recorder and shall be a covenant running with title to
all lots, tracts, and parcels within the Subdivision. Such recording shall constitute notice to
prospective purchasers or other interested parties as to the terms and provisions thereof.
15. SUCCESSORS AND ASSIGNS. The obligations and rights contained herein
shall be binding upon and inure to the benefit of the successors and assigns of the owner and the
BOCC,
16. IDENTIFICATION OF CONTRACT ADMINISTRATORS AND NOTICE
PROVISIONS. All notices required or permitted by this Agreement shall be in writing and
shall be deemed effective when received by the recipient party via personal or messenger service
delivery, facsimile transmission or United States certified mail (postage prepaid, return receipt
requested), in all cases addressed to the person for whom it is intended at the iddr"ss or facsimiie

The Representatives of the Owner and the BOCC, identified above, are the authorized
representatives of the parties for purposes of contact administration and notice under this
Agreement.
17. AMENDMENT. This Agreement may be modified from time to time, but only
in writing signed by the parties hereto, as their interests then appear. The parties, however, rnay
change the identification of notice recipients and contract administrators and the contact
information, provided in paragraph 16 above, in accordance with the notice provisions and
without formal amendment of this Agreement.
18. COUNTERPARTS. This Agreement may be executed in counterparts, each of
which shall be deemed an original, and all of which, when taken together, shall be deemed one
and the same instrument.
19. VENUE AND JURISDICTION. Venue and jurisdiction for any cause arising
out of or related to this Agreement shall lie with the District Court of Garfield County, Colorado,
and this Agreernent shall be construed according to the laws of the State of Colorado.
IN WITNESS WHEREOF, the parties have signed this Agreement to be effective upon
the date of Final Plat Approval for the Subdivision.

I. BACKGROUNDANDREQUEST:
The Final Plat for lronbridge PUD, Phase ll required execution of a Subdivision
lmprovements Agreement (SlA) to assure completion of public improvements necessitated
by the development. An SIA was signed by the Board and recorded in Reception Number
702421on July 19, 2006. This document described the public improvements that were
required to be constructed as well as specifying the collateral that would be provided to
assure completion of the improvements. Construction of improvements, and subsequent
releases and substitution of collateral, has occurred in the intervening years. The collateral
remaining is in the form of a Treasurer Deposit in the amount of 5485,385.01 (plus interest
accrued since January L, 2011). A professional engineer has certified that such
improvements have been completed therefore applicant requests acknowledgement of the
completion and release of remaining collateral.

Authorize the Chairman to sign the Acknowledgement of Satisfaction regarding the

Recitals
1. LB Rose Ranch LLC ("Owner"), entered into a Garfield County Treasurer's
Deposit and Substitution Agreement ("Deposit Agreement") with the Board of County
Commissioners of Garfield County, Colorado (*BOCC") and the Treasurer of Garfield County,
Colorado ("Treasurer"), recorded in Book 1835 at Page 0175 as Reception Number 705108 of
the Real Estate Records of the Garfield County Clerk and Recorder; and
2. The Owner and the Treasurer entered into that certain Garfield County
Treasurer's Disbursement Agteement, recorded in Book 1893 at Page 0190 as Reception
Number 7 I 6930 ("Disbursement Agreemenf '); and
3. The obligations of the Owner have been satisfied, as verified in the attached
statements from Scott P. Gregory, Peak Surveying, Inc. (formerly with High Country
Engineering, Inc.), dated October 1, 2008 and October 18, 2010, that the work completed is
consistent with improvements described in the Subdivision lmprovements Agteement between
the BOCC and Owner, recorded as Reception Number 702421(*SIA").
Acknowledsement
NOW THEREFORE, at the request of Owner and in consideration of the premises and
the prior agreements contained in the Deposit Agreement, Disbursement Agreement, and the
SlA, the BOCC hereby:
acknowledges full satisfaction of the security requirements of the SIA as to

authorizes disbursement of funds from the Treasurer's Account in the amount of
$486,385.01 plus interest accrued since January l,20ll, resulting in a remaining balance
of $0.00; and
authorizes and directs the Treasurer to release the funds held in the Treasurer's Account
