THIS DECLARATION, is made tfris ZS day of S 20L6, by

WITNESSETH:
WHEREAS, Eastbank owns certain property located in Garfield County, Coloradq
legally described as known as Lot 2, as depicted on that certain EAS1BANK LLC MINOR
SUBDMSION Plat as recorded in the Offices of the Clerk and Recorder for Garfield
County on Septembu 8,7fi75, as Reception No. 857715,located ar3297 County Road 154,
Glenwood Springs, CO 81601 (LotI'); and
VW{EREAS, Eastbank has obtained approval of a Land Use Change Permit to
operate a veterinary dinic (the "Veterinary CliniC) on Lot 2, as described in Garfield
County File Number GAPA.05-16-8453, and which Land Use Change Perurit is recorded
as Reception No. BBZ 4 l9 ; ana
WHEREAS, Eastbankhas obtained approval of a separate Land Use Change Penmit
to operate a vehicular repair facility (the "Vehide Repair Facili{') also on Lot 2, as
described in Garfield County File Number GAPA-05-753454, and whidt Land Use
Ctrange Perrritis recorded as Reception No. BBLIZO ; ana
WHEREAS, there is an existing Well on Lot 2, known as the Cozy Point L P. Well
(aka Eastbank Well No. 2) permitted under State Enginee/s Office Persrit Numbers
50?,f,r6-F and 80210-F, ('Well") together with a pumpr elechical meter, and other
appurtenant well shuctures. The Well is permitted to provide a commercial water supply
for the Veterinary Clinic and Vehicular Repair Facility on the LoU and
WHEREAS, the Well is covered by a Basalt Water Conservancy District'Water
Allohnent Contract No. 678 for 1.0 acre feet of water owned or conholled by the Basalt
Water Conseruancy Dishicg and
WHEREAS, as part of the approval of the Land Use Change Permits described
above, certain temporary and pennanent wastewater improvements will be made to Lot 2

WHEREAS, Declarant desires to set forth in o*iting the rights concerning the use
and ownership of the Well and Wastewater Facilities and related improvements, the use
and maintenance of the Well and Wastewater Facilities, and the rights and obligations
concerning the Well and Wastewater Facilities.
NOWTHEREFORE Dedarant dedares as follows:
1.. Right, Title and Interest. Eastbank, LLC, its successors and assigns, shall
retain all right, title, and interestin and to Lot?,the Well, the Wastewater Facilities, and all
aplrurtenances thereto.
2. Utilization of $reIL Eastbank, LLC, its successo$, and assigns, shall be
entitled to continue usage of the water produced by said Well upon the tercrs and
conditions contained herein. Unless legally changed or modifie4 the use of the said Well
shall be limited to the activities perrritted under the entitlements granted by the Land Use
Change Perudts described above. Eastbank, LLQ or successor owner of the Propertp
shall be responsible for the expenses of operating, maintaining, repairing improving and
replacing said WelL including the costs of maintaining a cu:rent well permit, associated
filings with the State Engineey's Office, and maintaining the Basalt Water Consenrancy
District Allotment Conkact for the Well, regardless of the language in any lease on the
Property.
3. Utilization of Wastewater Facilities. Eastbank, LLg its heins, dwisees,
personal representatives, assigns, successors, occupants, and subsequent owners of the
Property shall be entitled to continue usage of the Wastewater Facilities upon the ter:ns
and cronditions contained herein. Unless legally changed or modified the use of the said
Wastewater Facilities shall be limited to the activities permitted under the entitlements
granted by the Land Use Change Pemrits described above. Eastbank, LLC, or successor
owner of the ltoperty, shall be responsible for the expenses of operating maintaining
repairing improving and rqrlacing said Wastewater Facilities.
4" Reasonable Use. Dedarant, and any tenanfs respective usage of Well and
Wastewater fucilities shall always be reasonable, Ernd all parties shall endeavor to limit
their usage thereof to reasonably necessary usage for each of their respective lots.
5. Replaeement Well and Wastewater Facilities. In the event that the oristing
Well or Wastewater Facilities, for whatever reasoru is required to be relocated, or in the
event central water or sewer service is delivered to the Property, Eastbank, tLC or
successor or\rner of the Property shall bear all costs, and any tenant of the Property shall
agree to grant the appropriate perurissions, if necessary, to the new well, wastewater

which are incurred in connection with the operation, repair, maintenane, replacement,
improvement orinsurance of the Well orWasterrraterFacilities are nottimelypaidby any
party responsible therefore, induding by a Tmant on the Pro,perty, the Owner nay Pay
such ocpenses shall be mtitled to reimbursenrent therefore.
T. End-Uses. Eastbank, LLG and any sucressor owner of the Property shall be
sotely responsible for all operatiory maintenance, and capital costs associated with the
delivery of water from the Well to the end-uses located on their respective lots,
8. Notice. AII notices reqgired or perrritted hereunder shall be in writing and
shall be deeuted. Fven and recrived when (a) personally delivered, or (b) 48 hours after

I. INTRODUCTION
The proposed development adjoins the north side of the Roaring Fork River, ngrth of the
lronbriOge Golf Course to the south of the City of Glenwood Springs in Garfield County,
Colorado. The site is located along the south side of County Road 154. The proposed
development discussed here in this report will be for the construction of a commercial
building, the remodel of an existing commercial building, and the associated grading and
access/parking changes associated with the proposed changes to the property. The
property has a total area of 16.983 acres. The majority of the property will not be
ufzut"a by the proposed construction impacts to the north end of the property. The
property is currently leased to Intermountain Waste and Recycling and most of the area to
Le aisturbed is used for storage, access, and parking. See the enclosed Vicinity Map
(Exhibit l) for the property location.
IL SOILS
Within the project site, there is only one soil type as designated by the United States
Deparfinent- of Agri.,rlture Soil Conservation Service in cooperation with Colorado
Agricultural Experiment Station. Soil 8, Atencio-Azeltine complex, I to 3 percent slope
n uk.r up the "rtir. area of disturbance. The Soil Conservation Service describes the soils
as well drained. Soil 8 is defined as hydrologic group 'B'. The southem portion of the
property contains a portion of land within the Roaring Fork River that contains Soil 73
wtrictr is the pr"r.ri" of water but this proposed basin is not included in the area of
disturbance. A Uri.f description of the soils has been included on the soils map (Exhibit
#2).
III. HYDROLOGY
The hydrologic methods for this study are outlined in the Soil Conservation Service
(SCS) publication "Procedures for Determining Peak Flows in Colorado' (1980) and the
computer program AutoCAD Hydrology TR-55 Tabular Method. Peak on-site flows in
this area wili be primarily rainfall derived since the site is well below 8,000 feet in
elevation. Therefore, the storm drainage system should be more than adequate to handle
on-site spring snowmelt runoff.
The "range, natural" and "smooth surfaCes" Manning's n numbers were uSed when
determining the time of concentrations for each basin. The "open space, poor" curve
number *d "urphulf' curve numbers were used to determine composite curve numbers
for the existing and offsite basins and the "open space, good" and "asphalt" curve
numbers were used to determine the proposed composite curve numbers. Composite
runoff coefficients were determined for each basin.
Per the NOAA maps, the 2-year, Z4hotlr storm event produces 1.2 inches per hour, the
25-year,24 hour storm produces 2.2 inches per hour and the 100-year 24 hour storm
event produces2.6 inches per hour.

IV. OFF.SITE BASINS
One offsite basin drains to the proposed site. The runoff from offsite basin OS-1 drains
from the center of CR-154 to the west and onto the property via sheet flow. Offsite basin
OS1 consists of the western portion of CR-154 including the shoulder and some open
space, between the road and the property. The runoff from basin EX-OSI combines
*itfr tfr" runoff from basin EX-l bifore draining through the site to the historic flow path
and eventually to the Roaring Fork River.
Refer to sheets EXDR and PRDR in the Exhibits section of this report for the offsite
basin delineation and information. Refer to table l, below for runoffinformation.
V. EXISTING BASINS
The existing lot has been broken down into one onsite basin. Basin EX-l consists of the
entire lot and consists of open space. The runoff from the basin flows from the northeast
to the southwest and offsite io the Roaring Fork River. Refer to the Hydrologic
Computations section in the appendices for basin characteristics and flow information.

VI. PROPOSED DRAINAGE DESIGN
The proposed development of the lot calls for the construction of an Equine Veterinary
service, a parking lot, and drainage facilities.
The site has been broken down into one proposed onsite basin which includes the upper
site with the existing metal building structure. Proposed basin PR-l encompasses both
buildings and the ,rpp", parking area and access for the site. The runoff from basin PR-l
drains from the northeast to the southeast to two drywells.

The drywells were designed to detain the Z5-year storm events. The overflow from the
drywelts will be out the rim. It was determined that the required 25-year detention
volume for PR-l was 1916 cubic feet of storage. The required 100:year detention
volume for PR-l was determined to be 2,482 cubic feet. The proposed drywells have an
available detention volume of 1954 cubic feet. The required25-year detention storage
If the proposed drywells cannot percolate the runoff into the surrounding soils below the
proposed detention ponds, the runoff from the ponds will be discharged in a controlled
mallner via overflow out of the rims of the manholes and eventually out the access road
to the south. This runoff will be routed to the historic overflow paths at the southeastern
property corner via swales to the Roaring Fork River after passing through the outlet
weir.
VII. MAINTENANCE AI\D OPERATION
The proposed drywell will need to be inspected and cleared of debris after large storm
events to preserve the retention volume and infiltration capabilities. All inlets will also
need to be inspected and cleared of debris after large storm events. All storm water
facilities should be inspected and cleaned of debris quarterly as well.
VI[. CONCLUSION
The design of Eastbank Equine building was created to provide safe routing of offsite and
onsite storm water through the proposed lot with drywells. The storm water facility
design will reduce the offsite impacts from the runoff from the site by detaining storm
water from onsite as well as offsite basins. The amount of runoff that will flow
downsfeam off the site will be reduced, thus reducing negative impacts on downsffeam
land owners and storm water facilities.

We have reviewed the proposals to construct and operate a Veterinary Clinic (Equine Hospital)
and to continue to operate a Vehicle Repair Facility (Car Repair Facility) on a 16.98 acre parce|,
located a13927 County Road 1S4, Glenwood Springs. The parcel is known as Lot 2 of the
Eastbank LLC Minor Subdivision. The property currently has an approximately 4,000 sguare
foot commercial building, access road and utilities in place. The applicant does not propose to
create a new lot or change the size of the existing lot. The cunent water supply to the parcel is
provided by a well, cunently permitted under Permit No. 50236-F.
According to our records, Well Permit No. 50236-F was issued July 8, 1998, pursuant to CRS
37-90-137(2) to use an existing well constructed in the 1960s, and is valid. Use of the
groundwater from the well is limited to drinking and sanitary purposes inside a 4,000 square foot
office/repair shop building, occasional truck washing and floorwashing, and not more than 1,000
square feet of landscaping irrigation. The well shall be operated only when a Basalt WatEr
Conservancy District water allotment contract between the well owner and the district is in effect
(contract referenced on the wellpermit is BWGD contract #312). The annualtotal volume of
groundwaterto be appropriated underthis permit is limited to 0.4 acre-foot (130,332 gallons).
The applicant indicated that the water supply to both the existing car repair facility and the
proposed veterinary clinic will be provided by the existing well. As the current permit is llmited
to one 4,000 square foot office/repair shop building and an annual appropriation of 0.4 acre-foot,
the proposal to supply the veterinary clinic - which the applicant estimates would require 0.563
acre-foot - would be an expansion of use and would require a new well permit. The applicant
did indicate in the submitted materials that they are aware of this and would obtain a new permit
to allow for the well to also serve the new proposed use. Therefore, as long as the applicant
obtains a well permit for the expanded use, this office would not have an objection to use of the
existing wellto serve both facilities. Please note, since the property is located in the Colorado
River Basin which is over-appropriated, a new well permit would have to operate pursuant to an
approved plan for augmentation. The applicant has also indicated that they are in the process
of obtaining a contract with the Basalt Water Conservancy District for augmentation water for
the expanded uses for the veterinary clinic.

1) This well shall be used in such a way as to cause no material injury to existing water rights. The issuance of this permit does not ensure that
no injury will occur to another vested water right or preclude another owner of a vested water right from seeking relief in a civil court aclion.
2) Construction details for this existing well have not been provided to this ofice; therefore, it is not known if lhe construction of this well is in
compliance with the Water Well Construction Rules, 2 CCR 402-2. The issuance of this permit does not relieve the well owner of responsibility
or liability in the event contamination of the groundwater source results fom the construction or use of this well, nor does the State Engineer
assume any responsibility or liability should contamination occur.
3) Approved pursuant to CRS 37-90-137(2) to use an existing well in conjunction with permit no. 50236-F, on the condition that this well is
operated as an alternate point of diversion to the Basalt Conduit (if applicable per deoee) and in accordance with one or more of the
augmentation plans approved by the Div. 5 Water Court for the Basalt Water Conservancy District in Case Nos. 87C\ O155, 93Cl /0319,
98CW0026/98C\A/0089, 01CW0305, & 02CW0077 (and Case No. 10CW0047 if in Area A-3 as described in decree), or operating pursuant to an
approved substitute water supply plan. lf this well is not operated in accordance with the terms of said decree(s) or SWSP, it will be subjec{ to
administration including orders to cease diverting water. BWCD contract #678.
4l Approved for an expansion of use, of an existing well, constructed on an unknown dale (estimated December 31 , 1964, to an estimated
depth of 70 feet, and with a pump being installed on an unknown date (estimated December 31 , 1967), all without a valid permit, and later
permitted for use under permit no. 5023&F. Additionally a Statement of Beneficial Use was submitted February 10, 1999, claiming waterwas
first used beneficially on, July 8, 1998, under permit no. 50236-F. This well is known as Cozy Point L P Well (aka Eastbank Well no. 2).
5) The use of ground water from this well, in addition to those uses allowed under permil no. 50236-F, is limited to drinking and sanitary
facilities for a commercial business (Equine Hospital), the watering of domestic animals and livestock, stall washing/cleaning and aqua-.treated
hydrotherapy pool, and the irrigation of not more than 1,300 square feet of gardens, lawns and landscape.
6) The pumping rate of this well, under this permit, shall not exceed 15 GPM. Additionally, the combined pumping rate of this well, under this
permit and permit no.5023&F, shall not exceed 30 GPM.
n The annual withdrawal of ground water from this well, under this permit, shall not exceed 0.642 acre-foot. The annual amount of ground
water to be appropriated from this well, in addition to the withdrawal allowed under permit no. 5023&F, shall not exceed 1.023 aq+'feet.
8) The return flow from the use of this well must be through either a central treatment system, a septic tank and leach field system, or an
evaporative system, whichever does not exceed the amount specified in the Basalt contract.
9) The owner shall mark the well in a conspicuous place with well permit number(s), name of the aquifer, and court case number(s) as
appropriate. The owner shall take necessary means and precautions to preserve these markings.
10) This well shall be located at least 600 feet from any existing well that is not owned by the applicant and not more than 200 feet fiom the
location specified above and the location decreed for Cozy Point L P Well in case no. 01CW0305.
1 1) A totalizing flow meter must be installed on this well and maintained in good working order. Permanent records of all diversions must be
maintained by the well owner (recorded at least annually) and submitted to the Division Engineer upon request.

BASALT WATER CONSERVANCY DISTRICT
WATER ALLOTMENT CONTRACT NO. 678

EASTBANK, LLQ a Colorado limited liability company (hereinafter "Applicant")
has applied to the Basalt Water Conservancy District (hereinafter the "District") a political
subdivision of the State of Colorado, organized pursuant to and existing by virtue of
Section 37-45-101, Colorado Revised Statutes, et seq.,for an allotrrent contract forbmeficial
use of water rights owne{ lease4 or hereafter acquired by the District ("Contract"). By
execution of this Contract, Applicant agrees to the following terms and conditions and
those certain terms and crcnditions set forth in the attadred Order, whidr is fully
incorporated as a part of this Contract:
1. OUANITry: In consideration of the covenants and coqdffi&q herein
restrict actual diversions and consumptive use under this Contract to these anounts. :Ihe
Contract amount is based on the water requirements table attadhed hereto as Exhibit A.
Any increase or change in the water requirements to be served by the District will require
an amendment to the subject Contract.
2. SOI4.CE OF ALLOTTED WATER: Water rights allotted purzuant to this
Contract shall be from the District's water rights decreed to the Basdt Conduit, Landis
Canal Stockman's Ditdr Extmsion, Troy and Edith DitdL Robinson Ditch,,or other water
rights hereafter acquired by the District, induding the District's right to receive stordge
water from Ruedi Reservoir and Green Mountain Reservoir. The District shall have the
right to designate tlre water right or Dectee of the District from whic.h the Applicarrt's
allotted. rights shall be obtained. The Applicart's use of any of the District's water tightt
shallbe subjectto anyand all terms and conditions imposedbytheWater Courtontheuse
of the District's said rights. Exchange or augmentation releases made from the District's
storage rights in Ruedi or Green Mountain Reservoirs or other works and facilif,es of the
District shall be delivered to the Applicant at the ouflet works of said storage facility and
release of water at suc.h outlet works shall.constitute fulI performance of the Dishict's
delivery obligation. Delivery of water from the Districtls storage rights in Ruedi or Green
Mountain Reservoir shall be zubject to the District's lease contract with the United States
Bureau of Redamation and any rules and regulations promulgated purzuant thereto.
Releases from other facilities available to the District shallbe subject to the contracts, laws,
rules, and regulations governing releases ttrerefrom. Furthermore, the District hereby
expressly reserves the right to store water and to make exdrange releases from sbnrctures

3. At Applicanf s request, this water allotnent contract supply and applicanfs
struchrre(s) benefited hereunder have been induded in the Distric(s umbrella plan for
augmentation d.ecreed in Case No. 02CW77 ("lJmbtella Plan"). Applicant agrees to pay
$1,200.00 for indusion in the Umbrella Plan contemporaneously with acceptance of this
Order, unless otherwise agreed in writing by the parties, which amount is based on and
limited to the type(s) and amount of water use made by Applicant as detailed in Exhibit A
to this Water Allotment Contract.
4. PURPOSE AND LOCATION OF USE: Applicant will use the water.ights
altotted pursuant to this Contractforberreficial purposesby diversion atApplicant's point
of diversion under the District's direct flow water rights and/or for use by augmentation or
exchange. AppHcant will use the water allotted by the District within or through facilities
or upon land.s owne4 operated or served by Applicant, which lands are described as Lot 2
as depicted on that certain Eastbank LLC Minor Subdivision Plat as recorded in the Offices
of the Clerk and Recorder for Garfield Counf, Colorad.o on September & 2015 as
Reception No. 86715; provided that the location and p-urpose of Applicant's use of said
watershallbe legallyrecognized andperrdttedbythe applicable govemmental authority
h"rri"gi*isdietion over the property served. Applicant's contemplated usage for the water
allotted hereunder is for the following use or uses:

-Commercial -Agricultual -OtherIt is acknowledged that certain locations within the District may not be susceptible to
service solely by the District's water rights allotted hereunder or the District's said water
rights may not satisfy Applicant's needs and purposes. To the extent that service cannot be
achieved by use of the District's allotted water rights, or in the event said service is
inadequate, Applicant may utilize such other water rights, by way of supplementing the
District's watet rights, or otherwise, as is necessary to assure water service zufficiently
reliable for Applicarrt's intended.purpose or pulposes.
All lands, facilities and areas served by water rights allotted heteunder shall be
situated within the boundaries of the District.
Anyquarrtity of theApplicant's allocationnotdeliveredto orused.byApplicantby
the end of eadr water year shall revert to the water supplies of the District. Such reversion
shall not entitle Applicant to any refund of payment made for such water.

Water service provided by the District shall be limited to the amount of water
available in priority at the original point of diversion of the District's applicable water right
and neither the District, nor those entifled to ut.ilize the District's decrees, may call on any
greater amount at new or alternate points of diversion. The District shall request ttte
Colorado State Engineer to estimate any conveyance losses between the original point and
any alternate point and such estimate shall be deducted from this amount in each case. Tlre
District, or anyoneusingtheDistrict's decrees, maycallonanyadditionalsourcesof zupply
that may be available at an alternate point of diversion, but not at the original point of
diversion, only as against water rights which are junior to the date of application for the
altemate point of diversion.
In the everrt the Applicarrt intmds to instihrte arry legal proceedings for the approval
of an augmentation plan and/or any change to an altemate point of diversion of the
District's water right to allow the Applicant to utilize the water allotted hereunder, the
Applicant shall give the District written notice of such intent. Lr the event the Applicant
develops and adjudicates an alternate point of diversion and/or an augmentation plan to
utilize thewater allottedhereunder, Applicarrt shallnotbe obligated tobear or defrayarry
legal or engineering experuie of the District incrured by the District for the purpose of
developing and adjudicating a plan of augmmtation for the District. Lr any event, the
District shall have the right to approve the Applicant's application for change of water
right, and/or augmentation plan or other water supply plan involving the District's rights,
and the Applicant shall provide the District copies of suc-h application and of all pleadings
and other papers fiIed with the Water Court in the adjudication thereof.
The District resenres the exdusive right to review and approve any conditions which
may be attached to judicial approval of Applicant's use of the District's watei rights dlotted
hereunder. Applicant agrees to defray any out-of-pocket expenses inctured by the District
in cormection with the allotrnent of water rights hereunder, induding but not limited tq
reimbursement of legal and engineering costs incrrrred in corurection with any further
water rights adiudication necessary to allow Applicant's use of such allotted water rights;
provided however, in the event any such adiudication involves more of the District's water
rights than are allotted pursuarrt to this Contract, Applicant shall bear only a pro rata
portion of such expenses. Applicant shall be solely responsible for providing the
structures, works and facilities, if any, necessary to utilize the Districfs water rights allotted
hereunder for Applicarrt's beneficial use.
5. PAYIvIENT: Applicant shall pay annually for the water senrice described
herein at a price to be fixed annually by the Board of Directors of the District for zuch
service. Payment of the annual fee shall be made, in fnll, within fifteen (15) days after the
date of a notice from the District that the payment is due. Said notice will advise the
Applicant among other things, of the water delivery year to which the payment shall apply

and the price whidr is applicable to that year. If a payment is not made by the due date, a
late fee of $50 (or sudr other amount as the Board may set from time to time) will be
assessed and finalwriuennotice of the delinquent account and late fee assessmentwillbe
sent by the District to the Applicant at Applicant's address set forth below. If payment is
not made within thirty (30) days after said final written notice, the District may, at its
option, elect to terminate all of the Applicant's right, tifle, or interest under tlds Contract, in
which event the water right allotted hereunder may be transferre{ leased or otherwise
disposed of by the District at the discretion of its Board of Directors.
Inthe eventwater deliverieshereunder are madeby orpursuarrtto agreementwith
some other person, co{poratior; quasi-municipal entity, or govemmentalentty, and inthe
event the Applicant faits to make payments as required hereunder, the District may, at its
sole option and request, authorize said person or entity to curtail the Applicant's water
service pursuant to this Contract, and in such event neither the District nor zueh persons or
errtity shallbe liable for zudr curtailment.
6. APPROPRIATION OF FUNDS: The Applicant agtees that so long as this
Conuact is valid and in forcg Applicant will budget and appropriate from such sources of
revenues "r mey be legally available to the Applicant the funds necessary to make the
arurual patrrmmts in advance <if water delivery pursuant to this Contract. The Applicant
will hold harmless the District and any person or entity involved in the delivery of water
pursuant to this Contract, for discontinuance in service due to the failure of Applicartt to
maintain the payments herein required on a current basis.
7. BENEFIT OF CONTRACT: The water right allotted hereunder shall be
beneficially used for the purposes and in the manner specified herein and this Contract is
for the exdusive benefit of the Apphcant and shall not inure to the benefit of any zuccessor,
assign, or lessee of said Applicant without the prior written approval of the Board of
Directors of the District.
Upon the sale of the real property to whieh this Contract pertains, Applicant has a
duty to make the buyer aware of this Contract and the need to assign the Contract to the
buyer. Flowever, prior written approval of the Board of Directors of the District is reErired
before the assignment is effective. Paymmt of an assignment fee in an artount deterrrined
by the Board shallbe required as a prerequisite to approval of the assignment.
In the event ttte water right alloued hereunder is to be used. for the bmefit of land
which is now or will hereafter be subdivided or otherwise held or owned in separate
ownership interest, the Applicant may assign the Applicant's rights hereunder only to a
homeowners associatior; water district, water and sanitation district or other special
district, or other entity properly orgarrized and existing under and by virhre of the laws of

the State of Colorado, and then only if such association, entity or special district establishes
to the satisfaction of the Basalt Water Conservancy District that it has the ability and
authority to assure its performance of the Applicant's obligations under this Contract. In
no event shall the owner of a portion, but less than all, of the Applicant's property to be
served under this Contract have any rights hereunder, except as sudr rights may exist
through a homeowners association or special district as above provided.
Any assignrnent of the Applicant's rights under this Contract shall be zubject to and
must comply with such requirements as the District has adopted or may hereafter adopt
regarding assignment of Contract rights and the aszumption of Contract obligations by
assignees and successors, provided that sudr requirements shall trniformly apply to all
allottees receiving Diskict service. The restrictions on assignment as herein contained stull
not predude the District from holding the Applicant, or any successor to the Applicant,
reqponsible for the performance of all or any part of the Applicanfs covenants and
agreements herein contained.
8. OTHER RULES: Applicant's rights under this Contract shall be zubject to the
Water Service P1an'as adopted by the District and amended ftom time to time; provided

11. CHANGE OF USE: The Disfrict reserves the exdusive right to review and
approve or disapprove any proposed change in use of the water right atlotted hereunder.
Any use other than that set forth herein or any lease or sale of the water or water rights
allotted hereunder without the prior written approval of the District shall be deemed to be
a material breach of this Contract.
L2. PRIOR RESOLUTION: The water service provided hereunder is expressly
subject to that certain Resolution passed by the Board of Directors of the District on
September 25, L979, and all amendments thereto, as the same exists upon the date of this
application and allotnrent Contract.
13. NO FEE TITLE: It is understood and agreed that nothing herein shall give the
Applicant any equitable or legal fee tifle interest or ownership in or to any of the water or
water rights of theDistrict, butthatApplicant is entitled to the right to use the water right
allotted hereunder, subject to the limitations, obligations and conditions of this Contract.
L4. COMPLIANCE WTI}I SECTION lt04 OF TI{E CLEAN WATER ACT.
Applicarrt shall comply with Section 404 of the Clean Water Act and consult with the Army
Corps of Engineers to compietg anySectiontt04compliancethatmayberequired as arezult
of the construction of any facilities necessary to use contract water.
15. CONSERVATION PRACTICES: Applicant shall implement and use
com:nonly accepted conservation practices with respect to the water artd water "ightsallotted hereunder and shall be bound by any conseryation plan hereafter adopted by the
District, as the same may be amended from time to time.
75. WELL PERMIT: If Applicarrt intends to divert through a well, then Applicant
must provide to District a copy of Applicant's valid well permit before the District is
obligated to deliver any water hereunder, and it is the Applicant's continuous duty to
maintain a valid well permit. Applicant shall also comply with all restrictions and
limitations set forth in the well permit obtained from the Colorado Division of Water
Resources. Applicant must comply with the well-spacing reqpirements set forth in C.R.S. S
37-9A-L37, as amended if applicable. Compliance with said stattrtory well-spacing criJeria
shall be an express condition of the extension of senzice hereunder, and the District shall in
no way be Hable for an Applicant's failure to comply. Applicant agrees to mark the well in
a conspictrous place with the permit number.

17. MEASURING DEVICE OR METER: Applicant agrees to provide, at its own
expense, a totalizing flow meter with remote readout to continuously and accurately
measure at alltimes allwater divertedpursuantto theterms of Applicant'swaterrightand
the terms of this Contract. On or before November 15 of eadr year, Applicant will provide
accruate readings from such device or meter (recorded on a monthlybasis for the period
November l through October 30 of eadr year) to District, the Division Engineer and Water
Commissioner. Applicant ad<nowledges that failure to comply with this paragraph could
result in legal action to terminate Applicant's diversion of water by the State of Colorado
Division of Water Resources. By signing this Contract, Applicanthereby specifically allows
District, throughits authorized agent, to enteruponApplicarrt's property duringordinary
business hours for the pulposes of determining Applicant's achral use of water.
18. CONTRACT TERMINATION:
Termination bv District:
1. The District may tenninate this Contract for any violation or
breach of the terms of this Contract by Applicant, or Applicant's
breach of any other contract with the District.
2. The District may terminate this Contr act it,in its discretiorl any
judicial or administrative proceedings initiated by Applicant threaten
the District's authority to contract fordelivery or use of the District's
water rights, or threaten the District's permits, water tightt, or other

5. Any well permits issued on the basis of this Allotment Contract shall be
applied for and issued in the name of the Applicant.
6. This Contract is conditioned upon and water may be delivered hereunder
only in conformity with a water rights plan of augmentation decreed by the Water Court of
Water Division No. 5. Any and all conditions imposed upon the release and diversion of
thewater allottedhereunderinthe decree of saidWater Courtshallbeincorporatedherein
as a condition of approval of this Contract. Granting of this Allotment Contract does not
constitute the District's representation that the Applicant will receive a well permit or water
rights decree for the land to be benefited hereby.
7. If Applicant intends to divertwater through awell or wells, Applicantshall
provide the District a copy of Applicant's valid well permit for each sudr well before the

appurtenant well structures. The Well is permitted to provide a commercial water supply

3. Utilization of Wastewater Facilities. Eastbank, LLC, its heirs, devisees,
personal representatives, assigns, successors, occupants, irrd subsequent owners of the
Property shall be entifled to continue usage of the Wastewater Facilities upon the tenns
and conditions contained herein. Unless legally changed or modified, the use of the said
Wastewater Facilities shall be limited to the activities perrritted under the entitlements
granted by the Land Use Change Permits described above. Eastbank, LLC, or successor
owner of the Property, shall be responsible for the expenses of operating, maintaining,
repairing, improving and replacing said Wastewater Facilities.
4. Reasonable Use. Declarant, and any tenanfs respective usage of Well and
Wastewater facilities shall always be reasonable, and all parties shall endeavor to limit
their usage thereof to reasonably necessary usage for each of their respective lots.
5. Replacement Well and Wastewater Facilities. In the event that the existing
Well or Wastewater Facrlities, for whatever reason, is required to be relocated, or in the
event central water or sewer service is delivered to the Property, Eastbank, LLC or
successor owner of the Properly shall bear all costs, and any tenant of the Property shall
agree to grant the appropriate perrrissions, if necessary, to the new welf wastewater

6. Payment for repairs. In the event that reasonable expenses of any nature

such expenses shall be entitled to reimbursement therefore.
7. End-Uses. Eastbank, LLC, and any successor owner of the ltoperty shall be
solely responsible for all operation, maintenance, and capital costs associated with the
delivery of water from the Well to the end-uses located on their respective Lots.
8. Notices. All notices required or permitted hereunder shall be in writing and
shall be deemed glven and received when (a) personally delivere4 or (b) 48 hours after
the same is deposited in the United States mail. addressed to the other parties at their
address appearing on the signature page hereof or at such other address as shall be
designated by sudr other parties by written notice to all the others.
9. Binding. This Agreement and all its terrrs and conditions shall inure to the
benefit of and be binding upon the Eastbank, LLC, and any successors owner of,Lot 2,
until amended or ternrinated by Dedarant.
10. Recordation. This Agreement shall not be recorded in the records of
Garfield Connty, Colorado.
11. Entire Agreement. This Dedaration contains the entire dedaration of the
Dedarant concerning the subject matter herein and supersedes all prior dedarations
regarding the subject matter herein, if any.
12. Governing Law. For purposes of this Declaration, the Parties agree that it

Eastbank, LIC Well Testing
Wright Water Engineers, Inc. (WWE) was asked by Eastbank, LLC to perform follow-up testing on
the wells located on Lot 2 (existing commercial) and lot 3 (recently drilled) of the Eastbanlq LLC
minor subdivision due to prior water quality tests indicating the presence of total coliform and the
absence of E. coli. The Lot 3 well was pumped at 20 gpm for one hour prior to our collection of the
well sarnple at the well head, similarly the Lot 2 well was pumped at 20 gpm for 1.5 hours prior to
our collection of the well sample at the well head. Both of the collected samples were sampled for
total coliform and E. coli; total coliform was present at both wells and E. coli was abse,nt in both
samples. Additionally, a sample was taken inside the building located on Lot 2. In this test total
coliform was present and E. coli was absent. The results of WWE's follow-up testing on the two
wells are attached.
Total coliform bacteria are prolific in nature as they occur in plant material and soil, as well as in fecal
matter of warm blooded animals and humans. Their presence does not necessarily indicate fecal
contamination. The total coliform test is considered an indicator test, since the presence of bacteria
in this goup indicates the possibility, but not the certainty, that other enteric pathogens associated
with fecal coliforms may also be present. E. coli is a subset of fecal coliforms, which is a zubset of
total coliforms. The negative test forE. coli rndicates that the coliforms present likely originate in the
soil or other plant matter and are not the result of fecal or surface contamination of the groundwater.
However, there are other species of fecal coliforms other than E. coli that can also be pathogenic.
A properly disinfected well and distibution system, or designed and operated disinfection teatnent
system, such as with chlorination or ultraviolet (UV) radiation, can effectively treat the well water
and inactivate the total coliforms to an acceptable risk level for a drinking water supply. Upon
installation of a disinfection freatrnent system, WWE recommends that routine testing be performed
within the building located on lot 2 to confirm its efficacy.

This letter report presents the technical analysis of the water quality for the new well at the
proposed l(Vt/ Glenwood Springs, LLC facility. This letter supplements the March 10, 2015
Water Demand and Supply Report prepared by Resource Engineering, lnc. (RESOURCE).
WATER SUALITY
A water sarnple for the new wellwas obtained by RESOURCE on March 3, 2015. The sampie
was shipped by ovemight delivery under proper cfrain of custody to National Testing
Laboratories (results attached). ln accordance with the criteria established by the Garfield
County Land Use and Development Code, the well was tested for inorganic compounds
including metals, coliform, alkalinity, corrosivity, hardness, pH, total dissolved solids, and
radionuclides.
The results indicate that the well water msets the basic EPA primary and secondary drinking
water standards, sxcspt for gross alpha. Alpha particles come from erosion of natural deposits
of mrtain minenals induding uranium, mdon, and radium that are radioactive and may emit a
form of radiation. The water quality of a nearby well was also tested on March 3, 2015 and did
not have an elevated level of gross alpha. RESOURCE recommends retesting the wellnaater
for uranium, radon, radium and grass alpha to determine the source of alpha activity and if the
elevatad level of gross alpha was an outliner. Based on the new test results, recommendations
for water triaatment such as aeration, uater softening, and reverse osmosis will be presented, il
necessary.
The water quality results show several parameters that result in taste and aesthetic issues
rElated to hardness, turbidity, and iron bacteria. The well water hardness is high at 320 mgfl,
which is considered very hard. The hard water can cause scale to build up on waterfixtures and
lesssn effectivenes* of soaps. RESOURCE recommends use of a water softener to lower the
hardness of the water. The water softening will also treat alpha particles, if present. The
turbidity level was slightly elevated with a value of 1.3 NTU. The slightly elevated level of
turbidity is not a concern, and is probably related to the well being drilled the day before the
water sample was collected. The turbidity level will decline as the well is put into production.
lron bacteria with a population of 9,000 cfu/mL was also present in the well water. lron bac{eria
is not harmful to humans but can be a nuisance. lt can cause water to have a foul taste/odor
and leave intermittent brown staining of plumbing fixtures. The lron bacteria found in the rrvell
can be trsated with disinfection by shock treating the well in accordance with the CDPHE
Guidelines for $hoc* Chlorination of Wells and Water Sptems (copy attached).

The laboratory rcsults for ths water quality analysis indicate that the water meets all primary
and secondary drinking water standards, except gross alpha. RESOURCE recommends
retesting the well water to datermine the sources of alpha activity and if the elevated level of
gross alpha was an outlier. lf necessary, appropriate treatment technology will be
recommended based on the new test" The parameters related to taste and aesthetics,
hardness and iron bacteria, can be addressed with standard water softening equipment to treat

Treatment of Casing and Drap Piff
During the shock chlorination process it is necessary
to thoroughly wet down the inside of the well casing
and drop pipe. This can be accomplished by one of the
three methods mentioned below:
.If llquid bleach ls used, mix the recommended
amount ffable II) to at least I0 gallons of
water. Pour down the inside of the casing,
thoroughly wetting down everything inside the
casing.
.lf powdered or tablet chlorine is used, dissolve
the rccomrnended amount ffable II) in a small
quantity of water, then add the clear solution to
a larger quantity of water (at least 20 gallons).
Pour this solution into ttn caslng, thoroughly
u,etting down everythlng inside the casing.
.If a hose will extend from a nearby hydrant or
faucet to the well casing, pour the recommend'
ed amounts of chlorine ffable II) into the cas-
ing and wash dovm the inside of the casing with
the hose. Make sure the chlorine solution in
the well is coming through the hose during the
wash-down procedure. Pumping the solution
into the casing will help to mix the chlorine
solution with the standing water in the well.
Once the chlorine is thoroughly mixed with the water
in the well casing, allow it to stand for about six to12
hours. At the end of the six- tol2-hour period, all
faucets should be allowed to run until a strong odor
of chlorine is ohserved at each fauceg then turn off
the faucets and allow the water to stand in the pipes
for one hour.
Flushing the Systcn
Begin flushing the system by running all outside fau-
cets until you no longer smell chlorine. Run this water
into the strcet or onto an area where there is no lawn
or flowers, such as a rocked area, You rnay severely
damage lawns, landscape plantings, flowers or septic
tanks with heavily chlorinated water.
Once you have removed most of the chorine at the
outside faucets, go into the house and run all inside
faucets. If you have a septic tank or teaching field,
you may $/ant to dechlorinate the water at the drain
by using approximately two (2) ounces of sodium
bisulfite for every gallon run. Sodium bisulfite can be
purchased at hardware stores.
Hot water heaters should be drained after a welt is
treated with chlorine. lf possible, run a hose from the
water heater outside to an area that does not contain
lawn or other sensitive plants.

Bacterial contamination of well water can come from
many sources. The most common include repair-
lng the pump or casing without follour-up chlorina-
tlon, surface water entering pump or caslng, poor
construction of the well, or leaks in the well or well
casing.
Shock chlorination of the well may ellminate the bac-
terial contaminatlon, but unll rehabilitation may be
necessary lf contaminatlon contlnues to occur (as ln a
rusted or leaking casing).

A rvater sample forthe exlsting wellwas obtained by RESOURCE on March 3, 2015. The sample
was shipped by ovemight delivery under proper chain of custody to NationalTestlng Laboratories
(results attached). The water in the well was tested for inorganic @mpounds induding metals,
coliform, alkalinity, conosivity, hardness, pH, total dissolved solids, and radionuclides, in
accordance with the criteria in the Garfield County Land Use and Development Code.
The results indicate that the well water meets the basic EPA primary and secondary drinking water

Dear Ron:
Thanks for meeting with me and Roger Nea[ last month to discuss the fire flow water
supply and site access to the Eastbank site during construction and after occuPancy. As you
know, we have received conditional approval of two Land Use Change Permits from the County
to operate a veterinary clinic in a new building and a vehicle repair facility in the existing
structure on the property located at3297 CR 154. A condition of approval for both perrnits was
that we agree to necessary fire flow requirements and the number and location of hydrants.
RE-l is bringing a water main directly to the property within the next year to serve the
new school site directly north of the Eastbank property. We have confirrned that the schools
water main will be at least 12" asit serves the Eastbank facility. Attached are engineering plans
depicting the location of the hydran! located in the northeast corner of the site. The Fire
Deparhnent can access the hydrant from the secondary access road depicted on the exhibit, which
will be an all-season gravel surface accessible to fire trucks. We understand that any additional
development on the site may require additionalhydrants and we will consult with your office in
the event this occurs.

We plan to begin construction on the new facility as soon as possible to ensure completion
during this building seasoru and anticipate obtaining a certificate of occuPiulcy in October or
November. The RFWSD water main is expected to be constructed as early as this fall but more
likety next spring/summer. Given the timing, we discussed an interim temporary solution to
provide fire suppression flows prior to the installation of the RFWSD water main. Prior to
constructiorL Eastbank, LLC will install a temporary water tank holding at least L0,000 gallons of
fire suppression water. We anticipate this tank would be installed within the existing shed, which
is cenhally located between the two proposed facilities, which would be equipped with an outlet
for fire department use. This solution would be sufficient for fire-fighting PurPoses during
constructiorL and until the installation of the RFWSD main and the hydrant discussed above, so
long as the water main is installed within a reasonable timeframe. hr the unlikely event the
RFWSD main is not constructed within a year of the issuance of the LUC Permit, we will have
further discussions with your office and determine the long term fire flow needs of the site.
