Durnil and Marcia Durnil and John W. Terry (Borrower), whose address is 243 Charles Street, Carpentervilie, Illinois 60110, and the Public Trustee of Garfield County, Colorado (Trustee), for the benefit of Grass Mesa, Ltd., a Colorado corporation (Lender), whose address is Post Office Box,3080, Carefree, Arizona (85377). Borrower and Lender covenant and agree as follows: 1. Property in Trust. Borrower, in consideration of the indebtedness herein recited and the trust herein created, hereby grants and conveys to Trustee in trust, with power of sale, the following described property located in the County of Garfield, State of Colorado: SWY4SE% of Section 4, Township 7 South, Range 93 West of the 6th Principal Meridian, County of Garfield, State of Colorado, together with all its appurtenances (hereinafter referred to as "the Property"). 2. Note; Other Obligations Secured. This Deed of Trust is given to secure to Lender the repayment of the indebtedness evidenced by Borrower's note (Note) dated February 9, 1996, in the principal sum of Fifty -Two Thousand Seven Hundred Forty and No/100 Dollars ($52,740.00) with interest on the unpaid principal balance from February 9, 1996, until paid, at the rate of ten percent (10%) per annum, with principal and interest payable at Post Office Box 3080, Carefree, Arizona (85377), or such other place as the Lender may designate, in monthly payments of Four Hundred Sixty -Two and 83/100 Dollars ($462.83) due on the 1st day of each month, beginning March 1, 1996; such payments to continue until the entire indebtedness evidenced by said Note is fully paid; however, if not sooner paid, the entire principal amount outstanding and accrued interest thereon, shall be due and payable on January 31, 2006. Borrower has the right to prepay at any time, without penalty, all or part of the outstanding principal balance, accrued interest and any other charges such as late payment fees. The payment of any and all other sums disbursed by Lender in accordance with this Deed of Trust to protect the security of this Deed of Trust shall accrue interest thereon at the rate of eighteen percent (18%) per annum. 3. Title. Borrower covenants that Borrower owns and has the right to grant and convey the Property, and warrants title to the same, subject to general real estate taxes for the current year, easements of record or in existence, and recorded declarations, restrictions, reservations and covenants, if any, as of this date and except reservations and exceptions as set forth in the United States Patents of record; terms, conditions, provisions, obligations, easements, restrictions, assessments and all matters as set forth in Protective Covenants for Grass Mesa Ranch recorded in Book 628 at page 503 and First Amendment thereto recorded in Book 924 at page 292 and Amendment thereto recorded in Book 951 at page 883; easement and right of way for electric transmission line purposes as set forth in Easement recorded in Book 666 at page 210; easement and right of way for roadway purposes as set forth in Nonexclusive Road Easement recorded in Book 672 at page 761 and Amendment thereto recorded in Book 677 at page 56, and as set forth in Grant of Easement recorded in Book 694 at page 740; reservation of all oil, gas and other minerals as set forth in, but not limited to the following instruments: Quit Claim Deeds recorded in Book 634 at page 348 and in Book 814 at page 265; Oil and Gas Lease recorded in Book 882 at page 868, and any and all assignments thereof. 4.
