Knight, for the Grant A. Knight Trust & John 11. Knight, Personal Representative of the Estate of Harriet P. Knight, deceased, whose address is 1845 County Road 309, Parachute, CO 81635, hereinafter called "Owner" and Williams Production RMT Company, whose address is 1515 Arapahoe Street, Tower Three, Suite 1000, Denver, Colorado 80202, hereinafter called "Grantee." WITNESSETH: WHEREAS, the Owner has a surface ownership in the following lands in Garfield County, Colorado: Township 7 South. Range 95 West, 6th P.M. Sec 4:NW/4 Sec 5: E1/2 (The "Lands"); and WHEREAS, Grantee is the owner and operator of oil and gas leases (the "Leases") on and in the vicinity of the Lands in: Township 7 South. Range 95 West. 6th P.M. Garfield County, Colorado NOW, THEREFORE, for ten dollars and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. Grant of Easement. The Owner grants to Grantee, its successors, and assigns, an easement and right-of-way in, on, over, under, through, and across the Lands to survey, construct, install, inspect, maintain, operate, repair, remove, replace and modify a pipeline or pipelines together with such valves, fitting, meters and other equipment or appurtenances as necessary for the gathering and/or transportation of water, oil, gas, and other hydrocarbons (the "Easement"). Grantee agrees that all pipelines shall be installed forty-eight (48) inches below the surface of the ground. These Easements shall contain one (I) gas line and one (1) water line and shall be fifty (50) feetin width and will traverse the Lands along the routes shown on attached Exhibit "A" and "B" hereto and made a part hereof. After reclamation of the Easement and right-of-way, no additional pipelines shall be laid without express written permission from "Owner". 2. Change of Ownership. These Grant of Easements shall be binding upon, and its benefit and burden shall inure to, the heirs, successors and assigns of the parties. The agreements herein contained and the casement herein granted shall run with the Leases and the Lands, and are not personal covenants. 3. Use of Easement. Owner shall have the right to use and enjoy the Lands, but shall not exercise the use and enjoyment in a manner that will impair or interfere with the exercise by Grantee of any of the rights herein granted. Owner shall not create or permit any obstruction, building, lake, engineering works, or other structure over or on the Easement. 4. Damages. The consideration paid by Grantee and received by Owner includes full and final payment for any and all damages to the land, growing crops, pasturage, timber, fences, buildings, or other improvements of Owner resulting from the exercise of the rights herein granted during initial construction. Owner waives the right to collect any further or additional damages in any way arising or resulting from the exercise of the rights herein granted during initial construction. Grantee does agree, however, to pay for actual damages to growing crops, pasturage, timber, fences, buildings or other improvements of Owner resulting from the reconstruction, replacement or repair of the Easement or improvements thereon after its initial construction. 5. Term. The easement herein granted is temporary in nature and shall extend from the date hereof and remain in effect only so long as required for Grantee's operations conducted on the lands described on attached Exhibit "A" and "13". At such tines as Grantee's operation on all such lands terminate or at such earlier occasion as the pipelines are no longer required for Grantee's operations on this easement shall terminate.
