Any other instrument recorded subsequent to the date hereof may appear as an exception under Schedule B of the policy to be issued. Unless otherwise noted, all documents must be recorded to the office of the Clerk and Recorder of the County in which said property is located. This commitment is for informational purposes only and no policy will be issued. 1. Note: Per Statement of Authority recorded January 30, 2014 as Reception No. 845773 the person(s) authorized to execute instruments conveying, encumbering or otherwise affecting title to real property are Timothy J. Uphoff, Trustee and Eva C. Uphoff, Trustee on behalf of Eva C. Uphoff Trust dated August 7, 2013 NM 6 American Land Title Association Commitment Schedule B - Section 1 - Form 1004-5 DISCLOSURES Colorado Division of Insurance Regulation 3-5-1, Article 7, Paragraph G requires that "Every title insurance company shall be responsible to the proposed insured(s) subject to the terms and conditions of the title insurance commitment, other than the effective date of the title insurance commitment, for all matters which appear of record prior to the time of recording whenever the title insurance company, or its agent, conducts the closing and settlement service that is in conjunction with its issuance of an owners policy of title insurance and is responsible for the recording and filing of legal documents resulting from the transaction which was closed." Provided Commonwealth Title Insurance Company of Garfield County, Inc. conducts the closing of the insured transaction and is responsible for recording the legal documents from the transaction, exception number 5 will not appear on the Owner's Title Policy and the Lenders Policy when issued. NOTE: Exception No. 4 of Schedule B - Section 2 of this Commitment may be deleted from the Owner's Policy to be issued hereunder upon compliance with the following conditions: A. The land described in Schedule A of this Commitment must be a single family residence, which includes a condominium or townhouse unit. B. No labor or materials may have been furnished by mechanics or materialmen for purposes of construction on the land described in Schedule A of this Commitment within the past 6 months. C. The Company must receive appropriate affidavits indemnifying the Company against all unfiled mechanic's and materialmen's liens. D. Any deviation from conditions A through C above is subject to such additional requirements or information as the Company may deem necessary; or, at its option, the Company may refuse to delete the exception. No coverage will be given under any circumstances for labor or material for which the insured has contracted for or agreed to pay. Pursuant to C.R.S. §10-11-122, notice is hereby given that: A) The subject real property may be located in a special taxing district. B) A Certificate of Taxes Due listing each taxing jurisdiction may be obtained from the County Treasurer's authorized agent. C) The information regarding special districts and the boundaries of such districts may be obtained from the Board of County Commissioners, the County Clerk and Recorder, or the County Assessor. D) The company will not issue its policy of policies of title insurance contemplated by the commitment until it has been provided a Certificate of Taxes due or other equivalent documentation from the County Treasurer or the County Treasurer's authorized agent; or until the Proposed Insured has notified or instructed the company in writing to the contrary. C.R.S. §30-10-406 requires that all documents received for recording or filing in the clerk and recorder's office shall contain a top margin of at least one inch and a left, right, and bottom margin of at least one half of an inch. The clerk and recorder may refuse to record or file any document that does not conform, except that, the requirement for the top margin shall not apply to documents using forms on which space is provided for recording or filing information at the top margin of the document. Pursuant to C.R.S. §10-11-123, notice is hereby given: This notice applies to owner's policy commitments containing a mineral severance instrument exception, or exceptions, in Schedule B, Section 2. A) That there is recorded evidence that a mineral estate has been severed, leased, or otherwise conveyed from the surface estate and that there is a substantial likelihood that a third party holds some or all interest in oil, gas, other minerals, or geothermal energy in the property; and B) That such mineral estate may include the right to enter and use the property without the surface owner's permission. If the transaction includes a sale of the property and the price exceeds $100,000.00, the seller must comply with the disclosure/withholding provisions of C.R.S. §39-22-604.5 (Nonresident withholding). Pursuant to C.R.S. §38-35-125(2), no person or entity that provides closing and settlement services for a real estate transaction shall disburse funds as a part of such services until those funds have been received and are available for immediate withdrawal as a matter of right. C.R.S. §39-14-102 requires that a real property transfer declaration accompany any conveyance document presented for recordation in the State of Colorado. Said declaration shall be completed and signed by either the grantor or grantee. Nothing herein contained will be deemed to obligate the company to provide any of the coverages referred to herein unless the above conditions are fully satisfied. Rights or claims of parties in possession not shown by the Public records. 2. Easements, or claims of easements, not shown by the public records. 3. Discrepancies, conflicts in boundary lines, shortage in area, encroachments, and any facts, which a correct survey and inspection of the premises would disclose, and which are not shown by the public records. 4. Defects, liens, encumbrances, adverse claims or other matters, if any, created, first appearing in the public records or attaching subsequent to the effective date hereof but prior to the date the proposed insured acquires of record for value the estate or interest or mortgage thereon covered by this commitment. 6. Any and all unpaid taxes, assessments and unredeemed tax sales. 7. Any lien or charge on account of the inclusion of subject property in an improvement district. 8. Any and all water rights, claims, or title to water, whether or not the matters excepted are shown by the public record. 9. Right of the proprietor of a vein or lode to extract and remove his ore therefrom, should the same be found to penetrate or intersect the premises hereby granted and a right of way for ditches or canals as constructed by the authority of the United States, as reserved in United States Patent recorded March 18, 1949 in Book 241 at Page 180. NOTE: The policy (s) of insurance may contain a clause permitting arbitration of claims at the request of either the Insured or the Company. Upon request, the Company will provide a copy of this clause and the accompanying arbitration rules prior to the closing of the transaction. The rate will be S30. per hour for each cowboy plus reimbursement for damages that may result from cattle being in an area they are not supposed to be in. TERMINATION The easement granted herein or any portion thereof shall terminate upon the occurrence of any one of the following events: (a) The easement granted herein or any part thereof ceases to be used for the purposes for which it is granted for a period of twenty-four (24} consecutive months; or (b) Grantee fails to maintain the Pipeline in operating condition and/or conduct its operations on tl1e easement granted herein for a periood of twenty-four (24) consecutive months; or (c) Grantee breaches any of the terms or conditions of this A9reement and fails to remedy any such breach within one 1 • hundred twenty (120) days after receipt of written notice from Granter to do so, and Grantor elects to terminate the easement granted herein• or (d) Mutual agreement of the parties. Upon the occurrence of either of the events set forth in subparagraphs 1 (a) and 1 (b) above, the rights of Grantee hereunder shall terminate and become null and void one hundred twenty (120) days following suoh occurrence4 In the event Grantee fails to remove any materials relat- ing to the Pipeline within one year following either such occurrence. all such materials shall become the property of Grantor. Should Granter elect to terminate the easement pursuant to subparagraph 1 (c) above. such election to terminate shall not be construed as an exclusive remedy and Grantor specifically retains any other right or remedy that it might otherwise have. including, without limitation. the right to recover from Grantee any damages occasioned by any breaches of any of the terms or conditions of this Agreement or occasioned by the negligence of Grantee. 2. RELEASE UPON TERMINATION Upon termination of the easement granted herein pursuant to paragraph 1 above. Grantee shall file a release forthwith in the records of the Off ice of Clerk and Recorder. Rio Blanco County, Colorado. 3. RIGHTS RESERVED Grantor reserves and retains all rights not herein expressly 9ranted to Grantee in and to the lands subject to the ease- ment granted herein. including the right to use said lands for any and all purposes provided that said activities should not interfere with the rights granted to Grantee herein and to grant other non-exclusive easements over, under and across said lands; provided_ however. that any othe~ subsequent easements shall not interefere with the rights of Grantee granted h~reunder. 4. TITLE Grantor~s grant to Grantee of the easement herein is made subject to any and all existing easements, rights-of-way. liens. agree- ments. burdens, encumbrances, restrictions and defects in title affec- ting the easement granted herein. Granter gives no warranties and makes no representations. express or implied. with respect to title to the lands subject to the easement granted herein. 5. RESTORATION OF LANDS The lands subject to the easement granted herein and lands adjacent to such lands which are owned by Granter (hereinafter. collectively "Grantor's Lands 0 ) which are disturbed by Grantee~s or its agents" activities shall be promptly recontoured. revegetated and restored as closely as practicable to their condition prior to disturbance by Grantee or its agents at Grantee's sole cost, risk and expense. Grantee shall compact the ditch line across Grantor's irrigated meadow using practicable compacting methods to prevent set- tling and erosion at irri9ation canal crossings9 Grantee shall remove all rock two inches in diameter or larger left on the surface of Grantor~s hay meadow due to Grantee's Pipeline construction. Rock removed from Grantee's Pipeline Right-of-Way will be placed in the Deep Channel Creek Crossings. Grantee~s responsibility for revegation pro- vided for herein shall be ongoing and shall continue even after the termination of the easement granted herein unless or until Grantor's written release of Grantee's further obligation to revegetate such lands is obtained. Pipelines and other improvements. whether of a similar or dissimilar nature. except cuts in fences made pursuant to paragraph 7 below which are damaged by Grantee or its agents' activities, shall be promptly repaired or replaced in kind by Grantee at Grantee's sole cost. risk and expense. using materials of at least equal quality. 7. OPENING AND RESTORATION OF FENCES Opening and restoration of Grantor's fences shall be made at Grantee's sole cost, risk and expense as follows: .. ( d) Upon Grantee's completion of the construction. repair, maintenance. alteration~ replacement or removal of the Pipeline. as the case may be. WEEP CONTROL Grantee shall be responsible for controlling all ElLL noxious weeds. in~luding, without limitation. halogeton. cocklebur. "I:/~ canadian thistle, knapweed species, leary spurge and whitetop species on the lands subject to the easement granted herein. Grantee shall also be responsible for preventing such noxious weeds from spreading to Grantor's lands adjacent to the lands subject to the easement granted herein. In the event such noxious weeds spread to Grantor·s lands adjacent to the lands subject to the easement granted herein. Grantee shall be responsible for controlling the noxious weeds on those lands as well, provided that construction of the Pipeline. are free of such noxious weeds. If Grantor~s lands adjacent to the lands subject ta the easement granted herein are not free of such noxious weeds prior to construction of the Pipeline. Grantee's responsibility shall be limited to reasonable control of such noxious weeds on the lands subject to the easement granted herein only. If Grantee locates or Grantor notifies Grantee of location of noxious weeds on the easement. Grantee shall implement control procedures before noxious weeds go to seed. Grantee's responsibility for noxious weed control provided for herein shall be ongoing and shall continue even after termination of the easement granted herein unless or until Grantor~s written release of Grantee's further obligation to control such noxious weeds is obtained. Such written release shall not be unreasonably withheld. Grantee shall wash all Right-of-Way clearing equipment before entering Grantor's property. • 9. EROSION CONTROL Grantee shall be responsible for controlling all erosion of soils on the lands subject to the easement granted herein and on Grantor's lands adjacent to such lands caused by the activities of Grantee or its agents. Such erosion control shall include, without limitation, recontouring and revegetating said lands and restoring any reservoirs or waterways to their previous quality and capa~ity. Grantee's responsibility for erosion control provided for herein shall be ongoing and shall continue even after the termination of the ease- ment granted herein unless or until Grantor's written release of Grantee's further obligation to control erosion is obtained. Such written release shall not be unreasonably withheld. 10. SURFACE STRUCTlJRES Grantee shall not build or place any surface structures on the lands subject to the easement granted herein. except facilities required by regulatory agencies or surface structures approved by Granter in writing. Grantee's pipeline and related facilities will be underground except pipeline markers and cathodic protection test stations. Test stations are to be located at fence lines and at foreign pipeline crossings. 11. GENERAL IHDEHMHITY Grantee. to the fullest extent allowed by law, hereby agrees to defend, indemnity and hold harmless Grantor1 its partners, employees, agents, and lessees (hereinaftert individually and colleetively. "Indemnitees'') from and against any and all liabilities, losses, damaqes, including, without limitation, exemplary and punitive damages 1 judgments, claims. demands, costs and expenses of whatever nature, including, without limitation, court costs and reasonable attorneys' fees (hereinafter, collectively referred to as ''Claims''), for the injury, disease or death of any persons or the damage to or loss or destruction of any property, including, without limitation, natural resources or-the environment, occasioned by. arising out of, relating to or in donnection with grantees's and its agents~ laying. constructing, maintaining, operating. altering, replacing and removing the Pipeline. This provision shall survive the termination of the easement granted herein. ll. REGULATORY ENFORCEMENT INDEMNITY Grantee agrees to defend, indemnity and hold the Indemnitees harmless from and against any and all citations or complaints, including. without limitation. all court costs and attorneys' fees arising therefrom. which may be assessed agAinst the Indernnitees by any and all federal, state or other job safety and health enforcement agencies based upon any and all alleged unsafe or unhealthy working conditions created or caused by Grantee or its agents~ This provision shall survive the termination of the easement granted herein. 14. LIENS AHD E'RCUt!BRANCES Gran tee shal 1. at its sole expense, keep the lands subject to the easement granted herein free and clear of all liens and encumbrances resulting from Grantee's and its agents' activities on the said lands and shall indemnity and hold harmless Grantor from and against any and all liens. claims. demands, ~osts and expenses. including, without limitation. att~rney~s fees and court costs, in connection with or arising out of any work done. labor performed or materials furnished for the Pipeline. This provision shall survive the termination of the easement granted herein. 15. INSURANCE Grantee and any of its agents shall carry and maintain at Grantee's sole expense with reliabl~ insurance companies authorized to do business in Colorado at least the minimum insurance coverages required by law or the coverages set forth below, whichever are greater: (a) Workers~ Compensation and Employers' Liability Insurance in accordance with all applicable state and federal laws and endorsed specifically to include the fdllowing; i) Employers' Liability, including Occupational Disease, subject to a limit of liability of not less than $1,000,000. ii) Waiver of subrogation against the Indemnitees. (b) Comprehensive General Liability Insurance, with limits of liability of not less than ss.000,000. (combined single limit}. Grant. Grantor grants to Grantee a perpetual, non-exclusive pipeline right-of-way and easement (''Right-of-V\.,. ay,'), approximately 120 feet in width during constructio11 and fifty (50) feet i11 widtl1 thereafter~ across the Property to construct, maintain, i11spect, operate, replace, change and remove one 36'' pipeline, and an)r subsurface appurtenances, equipment and facilities useful or incidental thereto, for the transportation of natural gas and its constituents. The centerline of the Pipeline is legally described in the attached and incorporated Exhibit A, and the location of the Pipeline is depicted on the attached and incorporated Exhibit B. 2. Cons1derat1on. As consideration for the grant of~ the Right-of-Way ai1d for any other damages related to the construction, operation or maintenance of the Pipeline, prior to commencing construction on the Right-of-Way Grantee shall pay Grantor for the Right-of-W~ay arid for any relaled damages according to the schedule set forth in the letter accon1panying this Agreement~ the terms of 'vhich are i11corporated into this Agreement. Except as otherwise prO\'ided in this Agreement, such payment(s) shall constitute payment in full by Gra11tee for all damages to the Property associated \Vith the construction, operation and maintenance of~ the Pipeline. The parties agree that the length of the Right-of-Way is 113 7 .61 rods. 3. l~onstn1ction_ 3.1. Grantee shall pro\ride written notice to Grantor at least t\'ro (2) weeks prior to any construction relating to the Property under this Section 3, and shal 1 complete all such construction activities by January 1, 2007. Maintenance and upkeep may continue until termination of this Agreement. 3.2. Grantee shall bury the Pipeline \\rithin the Rigl1t-of-Way at a depth not less than forty-two ( 42) inches, and shall install the Pipeline so that it may be detected usi11g a corr1monly available metal or pipeline detector. 3.3 . Upon Grantee's completio11 of tl1e construction, repair, maintenance or alteration of the Pipeline, Grantee shall promptly rebuild permaner1t f~nces equal to or better than the fence(s) existing at the commencement of such construction, repair, 111ainte11ance or alteration. Fences shall not be considered equal to the prior fence it~ the posts ha,,e bee11 L111dercut, brush has been shoved into the fence, or if Grantee has disturbed the ground, plowed mud, or added other material \\,ithin three feet (3') of a fence. During construction, Grantee sha11 provide livestock crossings at the location or locations reasonably requested by Grantor. Grantee shall be responsible for pre\'enting Grantor's livestock from escaping from or enabling livestock of others from entering through any fence openings resulting from Grantee's construction activities. If a gate is left oper1 or a11y livestock otherwise escape as a result of Grantee's actions, Gra11tee shall be respo11sible for tl1e cost in,ro lved in gathering lhe li \'es tock that escaped. During construction, Grantee shall be al lo\\red, and is hereby granted, reasonable access to the Right-of-~Tay across existing roads on the Property to install the Pipeline. Grantee shall use the best available methods, other than hard surfacing~ to control dust from all roads used by Grantee. lTpon Grantor's request, Grantee shall apply water to the 300 feet of road in front of (i) the Summers cabin site, (ii) Owner)s main cabin site, a11d (iii) Owi1er' s t\\lO (2) solar panel sites. After installation of the Pipeline, Grantee ma)r utilize roads on the Property for i11aintena11ce and upkeep of· the Pipeline upon prior notice to Grantor. 3 .6. Grantee shall immediately restore or repair any irrigation or tail water ditch or pipeline that is damaged during any construction on or use of the Right-of'-\Vay so that the delivery of water on the Property is not disrupted. 4. Qrru1tor's Operations. During installation of the Pipeline, and at all times thereafter, Grantee shall n1inimize disruption of, and interference with~ any ranching! agriculture, or other operations cond11cted on the Property no"' or in tl1e future. 5. Reclamation. Within 120 da)rs after installation of t11e Pipeli11e ~'itl1in the Right- of-Way, or an)r maintenance or repair of the Pipeline that disturbs the surface of· tl1e Property, Grantee shall restore any affected area to its approximate prc ... disturbance topography and re-seed all such areas with appropriate nati\re vegetation for ground cover and erosion control. Grantee sl1all also be responsible for controlling all noxious \\1eeds on any reclaimed area unti 1 the native vegetation is healtl1y ru1d well-established. 6. Compliance with Law. No Other Facilities. Nothing in this Agreement shall be construed as granting Grantee the right to place any facilities on the Property other than the Pipeline to be installed witl1in the Right-of-Way. 8. Term of Grant. The Right-of-Way shall continue until (i) the parties' mutual, written agreement to terminate this Agreement, or (ii) Grantee's written surrender of the Right- of-Way. Upon termination or surrender of the rights granted under this Agreement, Grantee shall execule and deliver to Grantor, \\'ilhin thirty (30) days of written demand therefor, an ackno\\i~ ledgment that this Agreement has beer1 terminated. 9. 1.iabiJilY of Grantee. Grantee shall be liable for any 1njury to persons, propert)', or li "'estock caused by or incident to the operations of Grantee~ its agents, employees, contractors, subcontractors or inv·itees on the Property, or any extraordinar)' damages due to spills of tnaterials, explosions, or any other harmful activity of Grantee. Grantee shall indemnify and hold 11an11less Grru1tor from and agai11st any a11d all liability, dan1ages, cosls, expenses, fines, penalties and fees (inc.luding without limitation reasonable attorney ru1d consu1ta11t fees) i11curred by or asserted against Grantor arising from or regarding or relating to (i) the operations of Grantee, its agents, employees, contractors, subcontractors or invitees on the Property or (ii) any other rights granted by this Agreement. Such indemnification shall extend to and encompass, but sl1a11 i1ot be limited to, all claims, demands, actions or other matters which arise under the common law or other lav.Is designed to protect the en\rironment and pub lie health or welfare. Grantee shall, at Grantor's option~ defend Grantor or reimburse Grantor as expenses are ir1curred for Grantor's defense against any claims, demands, actions, or other matters~ whether brought or asserted by federal~ state, or loc.al governmental bodies or officials, or by pri\·atc persons, which are asserted pursuant to or brought under any such laws. All of Grantee's obligations stated in this Section 9 shall survive termination of this Agreement. I 0. Insurance. Grantee shall keep its operations insured, or compl)'r with applicable self-insurance la\\rs and regulations, for automobile, liability, and \\i'orkmen's compensation insurance, and for any damages incurred on the Property. 11. Grai1tee Liens. All rights granted in this Agreement arc limited to the specific grant(s) described in this Agreement. Grantor reserves to itself and 1ts successors and assigns all rights not specifically granted to Grantee in this Agreement1 including the right to the use and enjoyment of the surface of the Right-of-\\'ay so long as such use does not hinder, conflict with, or interfere with Grantee's rights under this Agreement. Except for the specific grant(s) described in this Agreement, in the event of any conflict bet~·een the terms of this Agreement and the tenns of the Master Surface Use Agreement, the terms of the Master Surface Use Agreement shall control. 15. Waiver. The failure of either party to enforce any of its rights under this Agreemt:nt upon any occasion shall not be deemed a \\.'aiver of such rights on any subsequent occasion(s).
