Glenwood Springs, Colorado 81601 ("BOCC" or `Buyer"). RECITALS A. Buyer is a legal and political subdivision of the State of Colorado for which the BOCC is authorized to act. B. Buyer is authorized to acquire, maintain and improve the Garfield County road system pursuant to the provisions of C.R.S. §§ 30-11-107, 42-4-101, and 43-2- 201 et seq., as amended. C. Buyer is further authorized to acquire property by donation, purchase, or eminent domain proceedings pursuant to C.R.S. § 43-2-204. D. Buyer desires to construct safety improvements on County Road 311, which is also known as "Divide Creek Road." E. Seller is the owner of Lot 1 and Lot 4 of the Josef P. Langegger Subdivision Exemption, including the property which Buyer seeks to acquire as more particularly described as Parcels A and B on Exhibit A and depicted on Exhibit B attached hereto and incorporated herein (the "Property"). F. The acquisition of the Property is necessary for the safety upgrades and other improvements to County Road 311. G. Seller has agreed to sell the Property to Buyer, and Buyer has agreed to purchase such Property. H. By vote of the BOCC, as shown in the minutes of meeting dated September 3, 2013, the BOCC was authorized to enter into this Agreement, subject to the terms and conditions set forth herein. Subject to Prior Encumbrances. It is understood that Buyer does not assume prior encumbrances on the Property, and that Seller shall make all payments thereon as they become due and owing, and shall fully discharge said encumbrances prior to or simultaneously with delivery of deed to Buyer. Irk case of failure of Seller to make such payments or to pay the taxes and/or insurance premiums as they become due, Buyer shall have the right to make such payments and deduct the amount thereof from the amount duc and owing the Seller hereunder. At no time shall the amount owing on any present or future encumbrance exceed the unpaid principal balance owing under this Agreement. 9. Title Information. a. Title. Conveyence of the Property to Buyer shall be by general warranty deed, free and clear of all liens and encumbrances, except taxes and assessments, protective covenants, mineral reservations, rights of way, and easements of record. b. Evidence of Title. On or before "Title Deadline," Buyer shall cause to be furnished to Buyer, at Buyer's expense, a current commitment for owner's title insurance policy ("Title Commitment") in an amount equal to the Purchase Price. At Buyer's expense, Buyer shall cause the title insurance policy to be issued and delivered to Buyer as soon as practicable at or after Closing. c. Copies of Exceptions. Buyer. at Buyer's expense, shall furnish to Buyer (i) a copy of any plats, declarations, covenants, conditions, restrictions. easements, liens. leases, assignments, or encumbrances burdening or affecting the Property, and (ii) copies of any other documents listed in the schedule of exceptions in the Title Commitment any time an or before the "Document Request Deadline." This requirement shall pertain only to documents as shown of record in the office of the Clerk and Recorder in Garfield County, Colorado. Any copies or summaries of documents furnished pursuant to this section constitute the "Tide Documents. " 10. Title and Survey Review. a. Title Review. Buyer shall have the right to inspect the Title Documents. Written notice by Buyer of unmerchantability of title, form or content of Title Commitment, or any unsatisfactory title condition shown by the Title Documents shall be signed by or on behalf of Buyer and given to the Seller on or before the "Title Objection Deadline" or within five (5) calendar days after receipt by Buyer of any change to the Title Documents or endorsement to the Title Commitment, together with a copy of the document adding new exception to title. If Seller does not receive Buyer's notice by the date specified above, Buyer accepts the condition of title as disclosed by the Title Documents as satisfactory. 4 b. Matters not Shown by Public Records. Seller shall deliver to Buyer, on or before the "Off -Record Natters Deadline" true copies of all leases, licenses, permits and surveys in Seller's possession pertaining to the Property and shall disclose to Buyer all easements, liens (including, without limitation, governmental improvements approved, but not yet installed) any environmental reports, tests or notices of existing environmental conditions affecting the Property or other title matters (including, without limitation, rights of first refusal and options) not shown by the public records of which Seller has actual knowledge. Buyer shall have the right to inspect the Property to determine if any third party has any right in the Property not shown by the public records (such as unrecorded easement, unrecorded lease, boundary line discrepancy or water rights). Written notice of any unsatisfactory condition disclosed by Seller or revealed by such inspection shall be signed by or on behalf of Buyer and given to Seller on or before the "Ori -Record Matters Objection Deadline." If Seller does not receive Buyer's notice by said deadline, Buyer accepts title subject to such rights, if any, of third parties of which Buyer has actual knowledge. c. Survey Review. Buyer may have performed, at its sole cost and expense, a survey of the Property. Such survey must be completed, and a copy of the same delivered to Seller, not later than the "Survey Deadline." If written notice by or on behalf of Buyer of any unsatisfactory condition shown by the survey is received by Seller on or before "Survey Objection Deadline" then such objection shall be deemed an unsatisfactory title condition. If Seller does not receive Buyer's notice by Survey Objection Deadline. Buyer accepts the survey as satisfactory. d. Right to Object, Cure. Buyer's right to object shall include, but not be limited to, those matters set forth in sections 10.a, 10.b and 10.c. If Seller receives notice of unmerchantability of title or any other unsatisfactory title condition or commitment terms as provided in sections 10.a, or 10.b above, Seller shall use reasonable efforts to correct said items and bear any nominal expense to correct the same prior to Closing. If such unsatisfactory title or other condition is not corrected to Buyer's satisfaction on or before Closing, this Agreement shall terminate as of the close of business on the Closing Date; provided, however, Buyer may, by written notice received by Seller on or before Closing, waive objection to such items. 11. Hazardous Waste. To the best of Seller's knowledge (a) the Property has never been used as a landfill or waste dump; (b) there has been no installation in, or production, disposal, or storage on the Property of any hazardous waste or other toxic substances, including, without limitation, asbestos and lead-based paint, by any tenant or previous owner or previous tenant or any other activity which would have toxic results; and (c) there is no proceeding or inquiry by any governmental authority or agency with respect thereto. Property Inspection, Indemnity and Insurability. a. Right to Inspection. During the period which commences upon execution of this Agreement by Seller and Buyer, and continuing until and including Closing, Buyer and its authorized agents and representatives shall be entitled to enter upon the Property at all reasonable times and upon reasonable notice to Seller to inspect the Property for the purpose of making surveys, soil tests, engineering tests, environmental audits and tests, feasibility studies, and any other inspection or investigations Buyer deems necessary or appropriate in connection with its intended acquisition, use, and development of the Property. If the inspection of the Property is unsatisfactory in Buyer's subjective discretion, Buyer shall, on or before "inspection Deadline": i. Notify Seller in writing that this Agreement is terminated; or ii. Deliver to Seller a written description of any unsatisfactory physical condition which Buyer required Seller to correct ("Notice to Correct"). If written notice is not received by Seller on or before "Inspection Objection Deadline," the physical condition of the Property shall be deemed to be satisfactory to Buyer. b. Inspection Resolution Deadline. If a Notice to Correct is received by Seller and if Buyer and Seiler have not agreed in writing to a settlement thereof on or before "inspection Resolution Deadline," this Agreement shall terminate at midnight one business day following the Inspection Resolution Deadline, unless before such termination Seller receives Buyer's written withdrawal of the Notice to Correct. c. Damage and Liens. Buyer, except as otherwise provided in this Agreement, is responsible for payment for all inspections, tests, surveys, engineering reports, or any other work performed a Buyer's request ("Work") and shall pay for any damage that occurs to the Property as a result of such Work. Buyer shall not permit claims or liens of any kind against the Property for Work performed on the Property at Buyer's request. 13. Closing. Delivery of deed from Seller to Buyer will be at Closing ("Closing"). Closing shall be on the date specified as the "Closing Date" or on an alternative date by mutual agreement set forth in writing, subject to the provision of section 33. Seller shall execute, acknowledge, and deliver to Buyer a general warranty deed, conveying title to the Property to Buyer, together with all of Seller's right, title and interest in and to said Property, except for the reservation of certain easements by Seller as described herein. b. Seller shall execute a bill of sale for the conveyance of the Inclusions, if any. c. Seller shall execute and deliver to Buyer an affidavit stating that Seller is not a foreign person, foreign corporation, foreign partnership, foreign trust, or foreign estate (as those terms are defined in the Internal Revenue Code and Income Tax Regulations). d. Seller shall execute a Certificate as to Taxpayer Identification Number as required by law. e. Seller shall have delivered to Buyer possession of the Property. f. Buyer shall deliver to Seller the cash or certified funds required by section 6.b. of this Agreement. g. Buyer shall execute a Real Property Transfer Declaration as required by Colorado law. h. Seller and Buyer shall each execute and deliver Settlement Statements, showing adjustments and the payment of the costs of Closing, if any. i. Each party shall deliver to the other such other documents, certificates and the like as may be required herein or as may be necessary or helpful to carry out its obligation under this Agreement. 14. Transfer of Title. At Closing, title to the Property shall transfer to Buyer. Except as provided herein, title shall be conveyed free and clear of all tax liens, including any governmental liens for special improvements as of the date of Buyer's signature hereon, whether assessed or not. Title shall he conveyed subject to: a. Those specific exceptions described by reference to recorded documentation as reflected in the Title Documents accepted by Buyer in accordance with Title Review; b. Distribution utility easements, if any; and c. Conservation Easements. If the Property is encumbered by a conservation easement. any costs, fees, or reimbursements due to the conservation easement holder are the Seller's responsibility. 16. Closing Costs, Documents and Services. a. Good Funds. Buyer and Seller shall pay, in good funds, their respective Closing costs and all other items required to be paid at Closing, except as otherwise provided herein. b. Closing Information and Documents. Buyer and Seller will furnish any additional information and documents required by the Earnest Money Holder that will be necessary to complete this transaction. Buyer and Seller shall sign and complete all customary or reasonably required documents at or before Closing. c. Closing Services Fee. Fees for real estate closing services, if any, shall be paid at Closing by Buyer. 17. Possession. Possession of the Property shall be delivered to Buyer at Closing. If Seller, after Closing, fails to deliver possession as specified, Seller shall be subject to eviction and shall he additionally liable to Buyer for payment of $100.00 per day from the date of Closing until possession is delivered. 18. Time of Essence. Time is of the essence hereof. In the event any time period expires on a Saturday, Sunday, or legal holiday of the State of Colorado, the date of performance shall be the next day which is not a Saturday, Sunday, or legal holiday of the State of Colorado. If any period of time set forth in this Agreement expires on a holiday or other non -business day, then such expiration date shall be the next business day. 19. Default and Remedies. If any payment due hereunder is not paid, honored or tendered when due, or if any other obligation hereunder is not performed or waived as herein provided, there shall be the following remedies: a. If Buver is in Default. Seller may elect to treat this Agreement as canceled, in which case all payments and things of value received hereunder shall be forfeited and retained on behalf of Seller, and Seller may recover such damages as may be proper, or Seller may elect to treat this Agreement as being in full force and effect and Seller shall have the right to specific performance or damages, or both. b. If Seller is in Default. Termination. In the event this Agreement is canceled or terminated by mutual agreement of the parties, all payments and things of value received pursuant to this Agreement shall be returned and the parties shall be relieved of all obligations contained in this Agreement. 21. Indemnity. To the extent permitted by law, each party to this Agreement shall hold harmless, indemnify and defend the other party, including the other parties' employees, officers, agents, and assigns, from any claim, lawsuit, or award of damages, to the extent such claims, lawsuit, or award of damages arises from the action or inaction of that parties' own officers, employees and agents. Nothing herein shall be interpreted as a waiver of governmental immunity, to which the Buyer would otherwise be entitled under Section 24-6-101, et seq., C.R.S., as amended. 22. Authority. Each person signing this Agreement represents and warrants that said person is fully authorized to enter into and execute this Agreement and to bind the party it represents to the terms and conditions hereof. 23. Disclaimer of Certain Representations and Warranties. Buyer acknowledges that Seller shall afford Buyer the opportunity for full and complete investigations, examinations and inspections of the Property. Except as specifically set forth in the representations and warranties contained herein and except as otherwise provided for in this Agreement, any Seller warranties that will be contained in the Deed, Buyer acknowledges and agrees that (a) neither Seller nor any of Seller's affiliates has made an independent investigation or verification of, or has any knowledge of, the accuracy or completeness of any the Property information provided by Seller to Buyer; (b) the Property information delivered or made available to Buyer and Buyer's representatives is furnished to each of them at the request, and for the convenience of Buyer; (c) Buyer is relying soiely on its own investigations, examinations and inspections of the Property and those of Buyer's representatives and is not relying in any way on Property information furnished by Seller or any of Seller's affiliates, or any of their agents or representatives; and (d) Seller expressly disclaims any representations or warranties with respect to the accuracy or completeness of the Property information, and Buyer releases Seller and Seller's affiliates, and their agents and representatives, from any and all liability with respect thereof. 24. No Third -Party Beneficiaries. This Agreement is not intended to benefit, and does not benefit, any person or entity other than the named parties hereto. 25. Fees. Each party is responsible for its own fees incurred in connection with the drafting, review, and negotiation of this Agreement. 26. Survival of Obligations. All representations and warranties and all unperformed obligations of Buyer or Seller herein stated shall survive the conveyance of the subject Property to Buyer and the payment of the Purchase Price to Seller, and all parties shall remain bound by this Agreement until all of their respective obligations hereunder have been completely performed. 27.
