THIS ACCESS EASEMENT AGREEl\1ENT ("Agreement"), is made and entered into
this ~ay of August 2006 hy and between 'fhe Elizabeth Rachel Charis Trust ("Grantor").
whose legal address is 706 North 7th Street, Grand Junction, Colorado 8150 J , and The A.~pen
Valley Land Trust ("Grantee" or "AVLT"), whose legal address is 320 Main Street, Suite 204,
Carbondale, Colorado 81623.
WITNESSETH
WHEREAS Grant or is the owner of certain real property in the Morrisania Ranch,
including Tract 18 of Parcel I and Parcel 2, as shown on the plats recorded at Book J 217, Page
328 and Book 1217, Page 329. respectively, in the records of the Clerk and Recorder"s Office of
Garfield County, Colorado; and
WHEREAS Grantor is the owner of certain access Easements over and across Tract 33;
as de ·cribed in the Road Easement in Book 78 Page 63 and the Ingress-Egress Easement in
Book 1639, Page 379 in the record s of the Clerk and Recorder's Office of Garfield County,
Colorado; and
WHEREAS, on December 28, 2005, Grantor conveyed a conservation easement
encumbering Parcel 2 to the Grantee, as reflecLed in the Easement Deed recorded at Reception
No. 689160 in the records of the Clerk and Recorder's Office of Garfield County, Colorado; and
WHEREAS, this Access Easement is intended to conform and clarify the Grantee's
rights of access to the Morrisania Mesa Ranch Conservation Easement through Tracts 33 and 18
of the Morrisania Ranch;
NOW THEREFORE, in consideration of the mauers above, the mutual covenants,
tenns, conditions and restrictions contained herein, and other good and valuable consideration,
the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:
l. Easement. Grantor hereby grants, aci igns, and sets ver to Grantee a perpetual,
non -exclusive access easement and right-of-way ( 'Easement") for vehicular and pedestrian
traffic to the Morrisania Mesa Ranch Conservation Easement over and across Tracts 33 and 18
of the Morrisania Ranch in the SW 1/4 of Section 2, Towm,hip 7 South, Range 95 West, of the 6111
P.M., as follows:
(1) The Westerly twelve feet (12') of Tract 33 as described in the Road Easement
in Book 78, Page 63 in the records of the Clerk and Recorder's Office of Garfield
County, Colorado;
(2) The Nonherly twelve feel (12') of Tract 33 as-described in the Ingress -Egress
Easement in Book 1639. Page 379 in tlle records of the Clerk and Recorder's
Office of Garfield County. Colorado;

As shown on the Easement Exhibit, dated August 14, 2006, attached hereto and
incorporated herein by reference.
2. Granter's Full Use and Enjoyment Except as herein granted, Grantor shal1
continue to have the full use and enjoyment of Tract 18 and the Easements over and across Tract
33 as described-above.
3. Disclaimer of Warranty. Grantor does not warrant, either express or implied,
the title, condition or fitness for any particular purpose or use, the Easement or any of the
Improvements located thereon, if any.
4. Mutual Indemnification.
a. Grantor hereby agrees to indemnify, defend and hold Grantee harmless
from and against any and all claims of any kind whatsoever a.~ may be brought
against Grantee arising from all claims, demands, suits, losses, damages, costs and
expenses (including attorneys' fees and court costs), and liabilities .. of whatsoever
nature or kind, directly or indirectly, arising out of, in connection with or
attributable to Grantor's use of the Easement, the improvements located thereon
and the underlying property.
b. Grantee hereby agrees to indemnify, defend and hold Grantor, and each of
them, harmless from and against any and all claims of any kind whatsoever as
may be brought against Grantor arising from all claims, demands, suits, losses,
damages, costs and expenses (including attorney's fees and court costs), and
liabilities, of whatsoever nature or kind, directly or indirectly, arising out of, in
connection with or attributable to Grantee's use of the Eas.ement, the
improvements located thereon, and the underlying property.
5. Successors. The covenants, terms. conditions, and restrictions of this Agreement
shall be binding upon, and inure to the benefit of. the Parties hereto and Grantor's respective
personal representatives, heirs, successors, transferees, and assigns, and the Grantee's successors,
transferees, and assigns, and shall continue as a servitude running in perpetuity with the
Property.
6. Recordation. The Grantor shall record this instrument in timely fashion in the
official records of Garfield County, Colorado.

EASEMENT AGREEMENT
This Easement Agreement ( .. Agreement") is entered into this j9_ day of October, 2023
by and between the Kirk L. Graham. an individual whose address is. 938-19 ½ Rd., Frui" CO
81521 ("Graham") and K&H Land Company, LLC a Colorado limited liability company,
whose address is 18 Murray Court, Parachute, CO 81635 ("K&H") ( each a "Party").
RECITALS
A. Graham owns the real property located in the Morrisania Ranch subdivision in
Parachute, Colorado legally described as Tract 17 Morrisania Ranch according to the plat thereof
recorded May 19, 1910 as Reception No. 39511, County of Garfield ( .. Tract 17") and Tract 18
Monisania Ranch according to the plat thereof recorded May 19, 1910 as Reception No. 3951 1,
Co1JJ1ty of Garfield, together with that part of the SWt/2, Section 2. Township 7 South, Range
98 West of the 61h P.M., lying easterly and southeasterly of Tracts 1. 16. 17, 18 and 33 of the
Morrisania Ranch as shown on the map filed with the Clerk and Recorder of Garfield County,
Colorado ( .. Tract I 8." collectively the .. Graham Properties").
B. K&H owns the real property located in the Morrisania Ranch subdivision in
Parachute, Colorado known as 3737 County Rd 301 and as legally described in the attached
Exhibit A (the .. K&H Property").
C. By this Agreement, K&H agrees to grant a non-exclusive access easement as
herein described to serve the Graham Properties.
NOW, THEREFORE, for good and valuable consideration. the receipt and sufficiency of
which is hereby acknowledged, the Parties agree as follows:
I. Jncorporation of Recitals. The foregoing Recitals arc incorporated by reference
herein and made part of this Agreement
2. Easement. K&H hereby grants, quitclaims. and con\'cys to Graham, his
successors and assigns~ a perpetual non-exclusive twenty-four foot (2-r) wide access easement
("Easement") across the portion of the K&H Property depicted as --New Access Easement" on
the attached Exhibit A, running through the K&H Property from the northerly boundary thereof
to County Road 301 as depicted in the location as described on the attached Exhibit A, for
purposes of ingress and egress to the Graham Property. which is sutlicicnt to ensure the ability
for vehicle and pedestrian access ("Access Easement'').
3. Limitation on Scope of Easement. The access easement conveyed herein is
limited to the purposes of pedestrian. vehicular and farm equipment ingress and egress to either
of the Graham Properties for purposes of agricultural uses and/or one single family home and
one accessory dwelling unit located on each of Tract 17 and Tract 18. by owners of said property
and their guests. lessees, licensees, and invitees. There shall be no expansion in the use or width
of the roadway and configuration granted herein without an amendment to this Agreement.
4. Notice. Any notice required by this Agreement may he provided to a Party with a
telephone call to the Party's designated representative and an email confirming the required
notice. The Parties' designated representatives are.listed below. A Party may change a
designated representative or contact information with written notice to the other Party's
designated representative in accordance with this paragraph.

5. Maintenance. The costs of repair, maintenance, clearing. trash removal, snow
plowing.and other expenses of upkeep and preserving the Access Easement shall be equally
shared by the Parties. _
6. Binding Effect. This Agreement is appurtenant to and runs with title to the
Graham Property and the K&H Property. and shall be binding upon. and inure to the benefit of,
the Parties, their heirs, successors, and assigns. Graham will record. and bear the cost of
recording, a fully executed copy of this Agreement in the real property records of Garfield
County, Colorado.
7. Amendments. This Agreement shall be modified by writing only, which writing
must be executed by the Parties in order to be effective. Any amendment shall be recorded in the
real property records of Garfield County. Colorado.
8. • No Waiver. Failure of either Party to enforce any prm·ision of this Agreement
shaUnotact.as.a.waiver or prevent enforcement of the same provision at some later time.
9. Forum Selection: Attorney Fees. The exclusive venue and jurisdiction for any
litigation arising hereunder shall be in the appropriate court in Garfield County. In the event of
litigation involving this Agreement, the prevailing Party shall be entitled to an award ofits
reasonable attorneys• fees and costs.
I 0. Headings. The paragraph headings in this Agreement are for convenience only
and-the. substantive portions hereof control without regard lo the headings;
11. Representations. Each person executing this Agreement warrants that they are
fully and legally empowered to execute and deliver this Agreement on behalf of the respective
Party.
12. Execution in Counterparts and/or Electronic Copies. This Agreement may be
executed in multiple counterparts as originals or by electronic copies of executed originals;
provided however, if evidence of execution is made by electronic copy. such electronic copy
shall be treated as an original. When all of the Parties to this Agreement have signed at least one
copy, such copies together will constitute a fully executed and binding contract.
