Letter of Engagement

Reference: 48 River Glen Remodel
Dear Dana,
I am pleased to be engaged by you as a structural engineering consultant (SE) for the above referenced
project. This engagement letter sets forth the terms of my services. If these arrangements are
acceptable, please sign this letter and return it to me at your earliest opportunity.
SCOPE
For the purposes of this proposal, the project scope was described in a document titled "2025-07-11_48
River Glen —Pricing set.pdf provided by The Outpost Studio on October 27, 2025. The project consists of
an interior remodel, including updates to finishes and fixtures in the kitchen and primary bathroom, as
well as limited removal of interior walls. At this time, no structural scope is anticipated. If structural
concerns come to light during demolition, I am available to provide the necessary services.
ENGINEERING COMPENSATION
Any structural scope which may arise will be billed at my then current standard hourly rate. My current
standard hourly rate schedule is as follows (subject to calendar year to year hourly rate increases by SE):
Project Management/Engineering: $180/Hr.
In the case where my structural stamp is required by the building department, a lump sum fee of $800
shall be billed to the project.
REIMBURSABLE EXPENSES
Reimbursable Expenses, including but not limited to vehicle mileage, shall be billed at a multiple of 110%
times the cost incurred.
PAYMENT
Invoices shall be due and payable upon Client's receiving of the invoice, and shall be considered past due
if not paid in full within 30 days after the invoice date. A service charge will be charged at the rate of
1.5% (18% true annual rate) per month, compounded monthly, or the maximum allowable by law on the
then outstanding balance of past due accounts. For all past due invoices, the Client shall pay all SE's
costs of collection, including SE's reasonable attorney's fees. Payments on account will be credited first to
any service charge and then to any outstanding balances.
RIGHT TO WITHHOLD SERVICES OR WITHDRAW
Without liability on my part, I have the right to withhold providing services or withdraw completely, at

my sole option, if any of my invoices are not paid in a timely manner or if I determine that an
irreconcilable conflict has arisen.
HOLD HARMLESS AND LIMITATION OF LIABILITY
To assure that my services in this matter can be rendered freely and independently, you agree to
indemnify, defend and hold harmless my firm from and against any and all liabilities, losses, costs and
expenses relating to my consulting services under this engagement. The foregoing shall not apply to any
matter resulting from my gross negligence or willful misconduct. In any case, the total liability of my firm
for all claims of any kind arising out of, relating to or connected with this engagement shall be limited to
the total fees paid to me under this engagement.
