PURCHASE AND SALE AGREEMENT
THESE ARTICLES OF AGREEMENT, Made and entered into this
3rd day of September, A. D. 1968, by and between MICHAEL J. RUSSO
and MARY RUSSO of the County of Garfield and State of Colorado, herein-
after called the Sellers and DAVID E. GIBBENS and MARY H. GIBBENS
of the County of Garfield and State of Colorado, hereinafter called the
Buyers, WITNESSETH:
For and in consideration of the purchase price hereinafter stated
and the mutual covenants and agreements herein contained to be kept and
performed by the parties hereto, the Sellers agree to sell and convey to the
Buyers and the Buyers agree to purchase from the Sellers, upon the terms and
conditions hereinafter set forth, all of the following - described real property
situate in the County of Garfield and Slate of Colorado, to -wil
A tract of land contained in the S`.1'lNh; of Section 5,
T. 6 S., R. 91 W. of the 6th P.:\/., described as follows:
Beginning at a point on the northerly boundary of the County
road, whence the East Quarter Corner of said Section 5 bears
S. 71 0 12 1 53" E., 2599.30 feet; thence along said County road
boundary S. 63 °40' W., 31.00 feet; thence along said County
road boundary S. 51 °02' W., 148.25 feet; thence along said
County road boundary S. 58 °39' W. 36. 31 feet; thence North
155.00 feet; thence N. 54 0 43 1 35" E. 158.10 feet; thence
S. 20 °39' E. 128. 52 feet to the point of beginning, containing
.53 acre, more or less. Together with one -half (z) share of
stock in the Roseman Ditch Company and the water and ditch rights
represented thereby.
The total purchase price for all of the above- described property shall be
the sum of Fifteen Thousand Dollars ($15, 000.00), and shall be payable by the
Buyers to the Sellers in the manner following:
a. The sum of Two Thousand, Five Hundred- Dollars ($2, 500.00) to be paid
upon the execution hereof, receipt of whicn sum the Sellers hereby acknowledge
b. The balance of Twelve Thousand, five llundred Dollars (,$l2, 500.00)
to be payable in. equal monthly installments of Highly Dollars ($80.00) each,
including interest on the unpaid principal balance of said sum at the rate of

six per cent (6%) por annum, said payments to commence on October 10, 1068
and to become due on the tenthday of each month thereafter until said balance
is paid in full.
c. The Buyers shall have the right to make prepayments in multiples
of Fifty Dollars ($50. 00) on any installment payment date.
THE FURTHER TERMS AND CONDITIONS of this agreement shall be
as follows:
1. At such time as the deferred principal balance hereunder has been
reduced to the amount of $7, 500.00, the Sellers shall furnish to the Buyers
an abstract of title covering all of the above- described property, certified to
dat e, and disclosing good and merchantable title in and to all of the above -
described property to be vested in the Sellers, subject only to the lien of
general taxes for the then current year, reservations and exceptions contained
in the United States Patent, and existing easements and rights -of -way of a
public or private nature. The expense of extension and certification of said
abstract shall be borne by the Sellers. The Buyers shall have a period of thirty
(30) days from the receipt of said abstract within which to notify the Sellers, in
writing, of any defects in title to said property which render such title unmer-
chantable. In the event the l3uyers fail to notify the Sellers of any such defects
within the period specified, the Buyers shall be deemed to have waived all objec-
tions to the title to said property. In the event the title to said property shall
be found to be unmerchantable in the Sellers, the Sellers shall have a period of

which to correct any such defects complained of. In the event that any such

1 , . defects cannot be corrected within ,aid period, the Buyers shall have the
` option of accepting title in its unmerchantable condition or they may terminate
'` this agreement. In the event title is determined to be unmercbantable and
cannot be corrected and the Buyers elect to terminate this agreement, tho
Sellers shall refund all monies received hereunder less an amount to be agreed
upon by the parties as a reasonable rental value of the premises for the period.
?' 2. The Sellers shall also, at such time as the deferred principal balance
hereunder has been reduced to the sum of Seven Thousand, Five HIundred Dollars
($7,500.00), execute and deliver to the Buyers, their good and sufficient warranty
deed to joint tenants, conveying title to all of the above- described real property
to the Buyers, subject only to the exceptions set forth in Paragraph 1 hereof.
The Buyers shall concurrently therewith execute and deliver to the Sellers
their promissory note in the amount of the remaining principal balance, payable
to the Sellers in accordance with the terms specified in Paragraph b above for
payment of the monthly installments hereunder. Said promissory note shall be
secured by first deed of trust covering all of the above - described property.
3. The Sellers shall deliver possession of all of the above- described
property to the Buyers upon the execution hereof, and the Buyers shall be entitled
to remain in possession of the premises while not in default hereunder. General
property taxes and special assessments shall be prorated to the date hereof, and
the Buyers shall pay all such taxes and special assessments accruing subsequent
to the date hereof before the same shall become delinquent.
4. The Buyers shall, at their sole expense, obtain and maintain in effect,
a policy of fire and extended coverage insurance insuring any improvements
located upon the above - described property to their maximum insurable value,
and said policy shall:contain an appropriate loss payable clause disclosing the
