GENERAL POWER OF ATTORNEY
KNOW ALL MEN BY THESE PRESENTS:
That I, MINDA M. PHILPOTT, a resident of Rifle in the
County of Garfield, State of Colorado, as principal, reposing
special trust and confidence in CECIL PHILPOTT, a resident of
Glenwood Springs in the County of Garfield, State of Colorado,
have made, constituted and appointed, and by these presents do
make, constitute and appoint the said CECIL PHILPOTT my true
and lawful attorney in fact, for me and in my name, place and
stead, for my sole use and benefit, to manage and conduct any
or all of my personal or business affairs, and for such purposes,
to execute or perfrom any . one or more of the following:
(1) Any act or transaction which a fiduciary for an
estate or trust is authorized to perfrom by the Colorado
Fiduciaries' Powers Act, as the same exists or may be
amended after the date hereof;
(2) Receive, demand, sue for, recover and take possession
of all sums of money, debts, goods, wares, merchandise,
chattels, effects and things of any nature or description
which are now or may subsequently be or become due, payable
or belonging to me in or by any right, title, ways or means
and, upon receipt of all or any part of such items, execute
and deliver such receipts, releases or other discharges for
such items as my attorney shall deem proper;
(3) Settle any account, with any person and of any nature,
in which I am now or at any time subsequently shall be
interested or concerned and pay or receive the balance
of any such account as my attorney may deem proper;
(4) Receive every sum of money which is now or subsequently
shall be due or belonging to me by virtue of any mortgage or
deed of trust, and execute a partial or full release or other
discharge of such mortgage or deed of trust as my attorney
may deem proper;
(5) Forgive or cancel, in my attorney's sole discretion,
any part of or all debts or obligations due or payable to
me, and cause promissory notes or other evidences of such
indebtedness which I hold to be cancelled, even though the
debts forgiven, in whole or in part, and the promissory
notes or other instruments of indebtedness which are can-
celled may be those of my attorney;
(6) Commence, prosecute, defend, settle or terminate all
actions or other legal proceedings concerning any or all
of my property, or concerning any natter in which I or
my property may be involved;
(7) Enter, manage and improve all or any part of my real
estate, and repair or otherwise improve or alter and insure
any buildings or other improvements on my real estate;
(8) Contract with any person for leasing for such time,
at such rents and subject to such conditions as my attorney
deems proper, all or any of my real estate, execute all
such leases and contracts as shall be necessary or proper
for such purpose, give notice to quit to any tenant or
occupier of my real estate, receive and recover from all
tenants and occupiers of my real estate all rents which
are now or shall subsequently become due and payable in
respect thereto and, on nonpayment of all or any part of
such rent or money due, take all necessary or proper actions
to terminate the tenancy or occupancy of such real estate or
to recover the possesssion thereof;
(9) Sell, either at public or private sale, or exchange
any part or all of my real estate or personal property
for such consideration and upon such terms as my attorney
shall deem proper, and execute and deliver deeds or other
instruments for the conveyance or transfer of the same
with such covenants of warranty or otherwise as my attorney
shall deem proper;
(10) Enter into any safe deposit box in any bank or other
institution, deposit any of my money which may come to my
attorney's possession with any bank or savings and loan
institution in my name, withdraw any money to which I am
entitled, which is now or shall be so deposited, by check,
draft, bill of exchange or other appropriate instruments,
negotiable or otherwise, as my attorney shall deem proper
and all to be executed by my attorney, and employ such money
in the payment of any debts or interest, payable by me, or
taxes, assessments, insurance and expenses due and payable
or to become payable on account of my property or any pur-
poses mentioned in this document or otherwise for my use
and benefit, and invest in my name in any stocks, bonds,
shares, securities or other property, real or personal, as
my attorney may deem proper, and change or dispose of any
and all such investments or other investments of mine for
my use and benefit as my attorney deems Proper;
(11) Borrow any money on such terms and with such security
by way of mortgage, pledge or any other security device,
whether real, personal or intangible property, as my attorney
may deem proper and, for that purpose, execute all promissory
notes, bonds, mortgages and other instruments which may be
necessary or proper;
(12) Engage, employ or dismiss any agents, attorneys or
other persons - to - a ccomplish any - purposes set forth herein
as my attorney shall deem necessary;
(13) Vote at meetings of stockholders or other meetings of
any corporation or company, execute any proxies or other
instruments or otherwise act as my attorney or proxy in re-
spect of any stocks, shares or other securities now or sub-
sequently held by me, including the right to sell, pledge,
negotiate, transfer or otherwise deal.in any such securities;
(14) Enter into and sign, seal, execute, acknowledge and
deliver any contracts, deeds or any other instruments and

draw, accept, make, endorse, discount or otherwise deal
with any bills of exchange, checks, promissory notes or
other commercial or mercantile instruments for any purposes
set forth in this document;
(15) Pay any amount of money necessary for my ordinary and
necessary household expenses, medical and hospital bills
and other living expenses incurred by or for me;
(16) Make, execute and file any federal, state and local
income, gift or other tax returns and any declarations of
estimated tax which I am required to make, pay or provide
for the payment of any tax or governmental charge that I
may owe, receive and negotiate refund checks, execute ex-
tensions and waivers of the statutes of limitations, execute
closing agreements and make any tax elections and consents
which my attorney deems necessary or advisable on my behalf;
(17) Constitute and appoint by a writing referring to this
writing, in my attorney's place and as a substitute for my
attorney, one or more attorneys for me, with full power of
revocation of any such appointment or substitution from
time to time;
(18) Do all other acts, deeds, matters and things or concur
with persons jointly interested with me in doing all acts,
deeds, matters and things, either particularly or generally
described, as fully and effectually to all intents and pur-
poses concerning nay property and affairs as I would do if
personally present.
OTHER DECLARATIONS:
(A) This instrument shall be construed and interpreted
as a general power of attorney, and the enumeration of
specific items, rights, acts or powers in this document
is not intended to limit or restrict, and is not to be
construed or interpreted as limiting or restricting, the
general powers granted to my attorney or any attorney sub-
stituted under the terms of this document.
(B) I ratify, confirm and promise at all times to ratify
and confirm all which my attorney or any attorney sub-
stituted under the terms hereof shall lawfully do or
cause to be done hereunder, including anything which may
be done after the revocation of this document before the
notice of such revocation reaches my attorney.
(c) I declare that all claims against me, my heirs or
my personal representative as a result of any action taken
by my attorney or any attorney under the terms of this
document after any such revocation, but before receipt of
notice of such revocation by such attorney, shall be re-
solved in favor of the person claiming the benefit of such
action, if such person did not have notice of- -such revocation
before taking any such action.
(D) A certificate, signed and duly acknowledged by my
attorney attached to a copy hereof, stating that such copy
is a true, correct and accurate copy of the original thereof,
may be furnished to any interested person as evidence of the
due execution of the original and the appointment of, and
powers conferred upon, my attorney.
(E) All assets, tangible or intangible, of any nature,

owned or acquired by me hereafter, shall be specifically
covered by and subject to all powers enumerated or set
forth in this general power of attorney.
(F) For the purposes hereof, the principal shall be pre-
sumed to be under no disability and have full legal capacity
until a physician duly licensed to practice medicine in the
State of Colorado, upon the authorization of any adult member
of the principal's immediate family, if any, and if none, then
any interested person, declares in writing that the principal
is under any one or more of the disabilities set forth in
Section 15 -14 -401, Colorado Probate Code. If any protective
proceeding becomes necessary I nominate my attorney to act
as conservator, or as a guardian, or both.
(G) This power of attorney shall be and become effective
upon the date hereof and shall continue in effect until
terminated in a writing by me while under no disability
as defined by the Colorado Probate Code. It shall be sub-
ject to revocation by me in such manner, but it shall not
be affected by my disability.
